How to Reinstate a Dissolved LLC: All 50 States

The short answer. Every state has a route back for a dissolved LLC, but 19 set a number of years after dissolution to use it, so check yours now. It usually means filing an application with the state, bringing overdue reports and fees current, and paying a reinstatement fee.

What We Found Across the States

  • Alabama's LLC law lists the events that dissolve an LLC, and a missed filing is not one of them, so its reinstatement route is for an LLC dissolved in another way.
  • 19 states set a number of years after dissolution to reinstate. In 5 of them the window has a condition, such as a waiver, a court route or an exception, set out on the state page. The shortest with no condition is 2 years (Alaska, Hawaii, New Mexico, Ohio, South Carolina, West Virginia and Wyoming).
  • 7 states say in their own law or guidance that an LLC can reinstate at any time.
  • In 8 states, the deadline depends on the route or the circumstances.
  • We have not yet confirmed the deadline in 16 states. Treat those as having one until the state says otherwise.
  • Where the reinstatement fee is one flat figure (35 states), the lowest is $5 and the highest is $300, before overdue reports and penalties.
  • In 38 states, the statute treats a reinstated LLC as if the dissolution or forfeiture had not happened. In 15 of them the statute also states a limit, such as protecting people who relied on the dissolution.
  • 9 states require a tax clearance from the state tax agency to reinstate, and 6 states require one in some cases. We have not confirmed the answer in the other 35.

Every answer is read from the state's own statute, rules, forms or guidance. A cell reading “Not confirmed” is a gap in what we have verified so far, never a reported “no.” The fee is the reinstatement fee itself; overdue reports, penalties and taxes are extra.
