How to Reinstate an Indiana LLC
The short answer. If your Indiana LLC has been administratively dissolved, you restore it by filing an application for reinstatement with the Indiana Secretary of State, Business Services Division. The fee is $20 for an electronic filing, or $30 for a filing made in any other way.

Why Indiana Would Dissolve an LLC
Indiana's Secretary of State may dissolve an LLC that is more than 60 days late paying a required fee, tax, interest or penalty or filing its biennial business entity report. It may also dissolve one that goes 60 consecutive days without a registered agent, or does not report a change or resignation of its agent or office within 60 days.
The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the LLC receives the Secretary of State's written notice.
How Long You Have to Reinstate
An LLC may apply within five years after the effective date of dissolution. After five years it may still apply, but the application must also state why the LLC wants reinstatement and what it intends to do if reinstated.

To be reinstated, the LLC must pay all fees, taxes, interest and penalties owed to the Secretary of State when it was dissolved, and those that would have come due while it was dissolved.
Indiana requires a tax clearance from the Indiana Department of Revenue to reinstate. The Secretary of State's reinstatement page says to request the certificate of clearance by sending the Department of Revenue an Affidavit for Reinstatement (Form AD-19) and a Responsible Officer Information form (ROC-1).
Registered Agent Options
If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether Indianawants that updated as part of reinstatement. You do not have to buy a service for it: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. What Reinstatement Does
Under Indiana's law, a reinstated LLC continues as if it had never been administratively dissolved. Rights a person gained by acting in reliance on the dissolution, before knowing of the reinstatement, are not affected.
If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.
Worth Knowing in Indiana
If the person filing is not listed as a governing person of the LLC, the application must include a notarized affidavit, signed by a governing person or the LLC's attorney, stating that a governing person gave permission to request reinstatement.
