How to Reinstate an Illinois LLC
The short answer. If your Illinois LLC has been administratively dissolved, you restore it by filing an Application for Reinstatement Following Administrative Dissolution or Revocation with the Illinois Secretary of State, Department of Business Services. The reinstatement fee is $200.

Why Illinois Would Dissolve an LLC
Illinois' Secretary of State may dissolve an LLC that misses its annual report or fee, fails to pay fees or penalties, fails to file another required report, or does not keep a registered agent in Illinois. It may also dissolve one that misrepresents a material matter in a filing, does not answer the Secretary's interrogatories, or pays with a payment that is returned.
The LLC has 120 days after the date of the notice of delinquency to cure a missed annual report, fee or other report. It has 60 days after the notice to cure the other grounds (a registered agent, a misrepresentation, unanswered interrogatories or a returned payment).
How Long You Have to Reinstate
We have not confirmed whether Illinois sets a deadline for reinstatement, so do not assume there is time to wait; check with the Illinois Secretary of State, Department of Business Services as soon as you can.

You file an Application for Reinstatement Following Administrative Dissolution or Revocation with the Illinois Secretary of State, Department of Business Services. You can file it online or on paper. Go to Illinois's filing page.
What It Costs
The reinstatement fee is $200.
The LLC must file every report then due and pay all fees and penalties then due. The Secretary of State's page says reinstatement must include all annual reports (a maximum of six years) and all fees due.

Registered Agent Options
If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether Illinoiswants that updated as part of reinstatement. You do not have to buy a service for it: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. What Reinstatement Does
Under Illinois's law, a reinstated LLC continues as if it had never been administratively dissolved. The statute measures continuity from the date the notice of dissolution was issued. It also says no member, manager or officer is personally liable for LLC debts incurred during the dissolution merely because the LLC was dissolved when they were incurred.
If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.
