Why Kansas Would Forfeit an LLC

Kansas forfeits an LLC's articles of organization when its business entity information report or fee is more than 90 days late. The Secretary of State may also declare the articles forfeited when the LLC fails to designate a new resident agent after its agent dies, moves or resigns.

An LLC forfeits if its information report and fee are not filed within 90 days after the due date, and the Secretary of State mails a warning within 60 days after that due date. For a missing resident agent, the Secretary of State may declare forfeiture after giving 30 days notice.

What Reinstatement Does

Under Kansas's law, a reinstated LLC continues as if it had never been forfeited.

If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.

Worth Knowing in Kansas

The Secretary of State adds an $85 penalty fee when the forfeiture was for an unfiled information report, and each missing report carries its own report fee.
