How to Reinstate a Mississippi LLC

The short answer. If your Mississippi LLC has been administratively dissolved, you restore it by filing an application for reinstatement with the Mississippi Secretary of State. Mississippi sets no deadline: an LLC that has been administratively dissolved can apply for reinstatement at any time. The reinstatement fee is $50.

Why Mississippi Would Dissolve an LLC

Mississippi may dissolve an LLC whose fees or annual report are more than 60 days late, that has been without a registered agent for 60 days, or that has not reported a registered agent change within 60 days. It may also act when the Department of Revenue reports the LLC delinquent in a payment or tax owed to the state, or when the LLC has misrepresented a material matter in a filing.

The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the Secretary of State serves written notice of its determination, by e-mail to the registered agent or by first-class mail.

What It Costs

The reinstatement fee is $50.

The application must state that each ground for dissolution, such as an overdue annual report or fee, a missing registered agent or a tax delinquency, either did not exist or has been eliminated.

Mississippi may require a tax clearance from the Mississippi Department of Revenue. The Secretary of State says certain LLCs seeking reinstatement must attach a tax clearance letter from the Department of Revenue, and the online system tells the filer when one is needed.

Registered Agent Options

If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether Mississippiwants that updated as part of reinstatement. You do not have to buy a service for it: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. What Reinstatement Does

Under Mississippi's law, a reinstated LLC continues as if it had never been administratively dissolved.

If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.
