Why Oklahoma Would Cancel an LLC
The LLC's articles of organization are deemed canceled if it does not file its annual certificate and pay the annual certificate fee, or pay a registered agent fee owed to the Secretary of State, within three years after the due date.
The LLC stops being in good standing if its annual certificate and fee are not filed within 60 days after the due date, and its articles are deemed canceled on the third anniversary of the due date.

Oklahoma charges no separate reinstatement fee.
The LLC must file every delinquent annual certificate and pay every delinquent annual certificate fee, or pay every delinquent registered agent fee owed to the Secretary of State. Each annual certificate carries a $25 fee.

What Reinstatement Does
Under Oklahoma's law, a reinstated LLC continues as if it had never been canceled.
If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.
Worth Knowing in Oklahoma
A member or manager is not liable for the LLC's debts solely because it failed to file an annual certificate, stopped being in good standing, or had its articles canceled. Until it is reinstated, an LLC that is not in good standing cannot bring a lawsuit in an Oklahoma court, though it may defend one.
