How to Reinstate a North Dakota LLC
The short answer. If your North Dakota LLC has been administratively terminated, you restore it by filing a past-due annual report with the North Dakota Secretary of State. The reinstatement fee is $135.

Why North Dakota Would Terminate an LLC
The Secretary of State may terminate an LLC that fails to file its annual report or another required record with its fees, fails to keep a registered agent and office, or makes a material misrepresentation in a filing.
For a missed annual report, termination happens by operation of law six months after the report's due date, after the Secretary of State has notified the LLC that it is not in good standing. For the other grounds, the Secretary of State must first mail at least 60 days' notice, and the LLC is terminated if it does not cure within those 60 days.
How Long You Have to Reinstate
North Dakota allows reinstatement for up to 1 year after the LLC is administratively terminated. The Secretary of State route covers an LLC terminated for failing to file its annual report, and the past-due report and fees must be filed within one year after the termination.
After one year, the LLC may petition the district court for the judicial district serving Burleigh County for reinstatement. A court order reversing the termination requires the LLC to file its most recent past-due annual report and pay the past-due report fees and the reinstatement fee.

What Reinstatement Does
Reinstatement restores active status as of the reinstatement date for the Secretary of State's records and as to people adversely affected by it. As of the termination date, it validates contracts and acts within the articles and restores the LLC's assets and rights, except those affected by acts after the termination.
If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.

North Dakota's statute says an LLC that is terminated for a missed annual report ceases to exist. A reinstated LLC applies again for any license or permit under the statute that governs it.
