How to Reinstate an Arizona LLC

The short answer. If your Arizona LLC has been administratively dissolved, you restore it by filing an application for reinstatement with the Arizona Corporation Commission. Arizona allows reinstatement for up to 6 years after the LLC is administratively dissolved. The reinstatement fee is $100. The fee is $135 with expedited processing.

Why Arizona Would Dissolve an LLC

The Commission may dissolve an LLC that does not pay a Commission fee or penalty within 60 days after it is due, goes 60 consecutive days without a statutory agent or principal address, fails to report a change of agent or address within 60 days, fails to amend its articles or file a required statement of change or correction, or fails to answer Commission interrogatories.

The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the Commission delivers its notice to the statutory agent's address (or the principal address if there is no valid agent address).

How Long You Have to Reinstate

Arizona allows reinstatement for up to 6 years after the LLC is administratively dissolved.

After six years the business is no longer eligible for reinstatement and must apply for a new formation.

How to File

You file an application for reinstatement with the Arizona Corporation Commission. Go to Arizona's filing page.

The reinstatement fee is $100. The fee is $135 with expedited processing.

The LLC must pay every fee and penalty that was due to the Commission when it was dissolved and every fee and penalty that would have come due while it was dissolved, and the application must state that the grounds for dissolution did not exist or have been cured.

What Reinstatement Does

Under Arizona's law, a reinstated LLC continues as if it had never been administratively dissolved. The rights of anyone who acted in reliance on the dissolution before knowing or having notice of the reinstatement are not affected.

The Commission holds the name for six months after dissolution; after that, if someone else has adopted the name, the LLC must file articles of amendment adopting a new name together with its application.
