How to Reinstate a Florida LLC

The short answer. If your Florida LLC has been administratively dissolved, you restore it by filing an application for reinstatement with the Florida Department of State, Division of Corporations. Florida sets no deadline: an LLC that has been administratively dissolved can apply for reinstatement at any time. The reinstatement fee is $100.

Why Florida Would Dissolve an LLC

The Division of Corporations may dissolve an LLC that does not file its annual report by the third Friday in September, pay a fee or penalty it owes the Department, appoint and keep a registered agent, or file a statement of change within 30 days after its agent's name or address changes.

An LLC that misses its annual report is dissolved on the fourth Friday in September; the notice of intent and 60-day correction period apply only to the other grounds (an unpaid fee or penalty, no registered agent, or an unfiled agent change), and run from when the Department sends the notice.

Florida sets no deadline: an LLC that has been administratively dissolved can apply for reinstatement at any time.

What It Costs

The reinstatement fee is $100.

The LLC must pay all fees and penalties it owes at the rates in effect when it applies, which the Division lists as the annual report fee for each report year missed.

What Reinstatement Does

Under Florida's law, a reinstated LLC continues as if it had never been administratively dissolved. The rights of a person arising from an act or omission in reliance on the dissolution before the person knew or had notice of the reinstatement are not affected.

The name is not available to another business for 1 year after dissolution, unless the LLC consents in writing; after that, if another business has lawfully taken the name, the LLC must amend its articles to change its name before the Division accepts the application.

A Florida LLC can also reinstate by filing a current annual report, signed by its registered agent and an authorized representative, with all fees and penalties owed, instead of the application.
