How to Reinstate a Utah LLC
The short answer. If your Utah LLC has been administratively dissolved, you restore it by filing an application for reinstatement with the Utah Division of Corporations and Commercial Code. Utah sets no deadline: an LLC that has been administratively dissolved can apply for reinstatement at any time. The reinstatement fee is $54.

Why Utah Would Dissolve an LLC
The Division may dissolve an LLC that does not pay a fee, tax, interest or penalty the Division requires within six months after the day the Division requires payment, or does not deliver its annual report within 60 days after it is due. It may also dissolve an LLC that has no registered agent in Utah for 60 consecutive calendar days.
The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the Division serves the LLC with notice of its determination that a ground for dissolution exists.

Utah sets no deadline: an LLC that has been administratively dissolved can apply for reinstatement at any time.

What It Costs
The reinstatement fee is $54.
The application must state that the LLC has paid all fees and penalties imposed under Utah's business entity law or other state law, and that it has paid any tax, fee or penalty it owes the State Tax Commission or is current on a payment plan for it. The Division's fee schedule adds $18 for each year the annual renewal was missed, plus a $10 delinquency fee.

Registered Agent Options
If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether Utahwants that updated as part of reinstatement. You do not have to buy a service for it: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. What Reinstatement Does
Under Utah's law, a reinstated LLC continues as if it had never been administratively dissolved. The rights of a person arising from an act or omission in reliance on the dissolution, before the person knew or had notice of the reinstatement, are not affected.
The LLC keeps its name, and any D.B.A., for five years after the dissolution takes effect. After that it can reinstate under its old name only if the name is still available, or it must state a different name.

These rules come from a Utah law in effect from October 1, 2026. As enacted, the new reinstatement section lists only corporation chapters among the conditions for the Division to reinstate; confirm with the Division that it is processing LLC reinstatements before relying on a date.
