How to Amend Your LLC's Articles of Organization, by State

The amendment document and state fee for all 50 states, what your Articles contain, and the steps to file a change.

By Edmond Hui · Updated October 14, 2026

The short answer. To change what your LLC's Articles of Organization say, you file your state's amendment document and pay its fee. Some changes, such as a new registered agent or a new address, may have their own form, and in some states can be made on the annual report, so check your state's rule before you file.

Of the 44 states with one flat amendment fee in our record, the lowest is $15 (Montana) and the highest is $220 (Delaware). In 6 more, the state publishes more than one price, and the table shows each one.

Amendment Forms and Fees in All 50 States

Find your state below for the name of its amendment document and the state's filing fee. Some states call the original document a Certificate of Formation or a Certificate of Organization; each state's guide shows its own name for it. The fees are the state's own charges, before anything a service adds.

Choose your state to see what its formation document asks for. Changing information on that document is what an amendment is for. Some states handle a registered agent or address change on a separate form or on the annual report instead, so check your state's rule.

How to Amend Your LLC's Articles, Step by Step

Decide exactly what is changing, check whether your operating agreement requires the members to approve it, then file your state's amendment document with its fee. If the name changes, tell the IRS. Then update your bank, any licenses and your next annual report so every record matches.

  1. Decide what is changing. List each item you want to change, such as the name, the registered agent, an address, or who manages the LLC. Check whether that item is on your state's formation document (the picker above shows our summary). If it is not, an amendment may not be the right filing.
  2. Check your operating agreement. Many operating agreements say who must approve a change to the Articles, such as a vote of the members. If yours says nothing, your state's LLC law sets a default rule. Record the approval in writing and keep it with your company records.
  3. File the amendment. Use your state's current amendment form or online filing, fill in the changes, sign it as the form directs, and pay the state's fee. Keep the filed copy the state sends back.
  4. Tell the IRS if the name changes. The IRS needs to know your LLC's new name so its records match yours. Its website explains how, and the steps depend on how your LLC files its federal tax return.
  5. Update everyone else. Give the new details to your bank, your state tax agency, any office that issued you a license or permit, and your insurers. If your LLC is registered to do business in other states, update each of those registrations too. Check that your next annual report, where your state requires one, shows the change.

Changing Your LLC's Name

Before you file a name change, check that the new name is available in your state, because the state compares it with names already on its business register. Search your state's register first, then file the amendment with the new name, and update the IRS, your bank and your licenses once it is approved.

Prefer to Have Someone File It?

Filing an amendment yourself costs only the state's fee shown in the table. Some formation services also file amendments for their customers, for a charge of their own. We have not recorded those prices, so compare what each company publishes on its own site before you choose one.

Our formation service comparison lists the services we cover, with the formation prices we recorded from each company's own site.

Frequently Asked Questions

This guide is general information, not legal or tax advice, and reading it does not create an attorney-client relationship. It reports what each state's filing office publishes about the document that forms an LLC, with the sources this page cites. It cannot tell you what your own filing needs: fees and forms change between our reviews, several occupations cannot use an ordinary LLC at all and must use a professional entity or a separate professional form, and your city or county may require a registration of its own. Confirm the current fee and form with the filing office named on this page before you send anything.
