How to Reinstate a Wyoming LLC

The short answer. If your Wyoming LLC has been forfeited, you restore it by filing a reinstatement with the Wyoming Secretary of State, Business Division. Wyoming allows reinstatement for up to 2 years after the LLC is forfeited.

Why Wyoming Would Forfeit an LLC

The Secretary of State forfeits an LLC's articles of organization if it does not pay its annual report fee or related penalties, or is without a registered agent or registered office in Wyoming. Other grounds include a member knowingly signing a false filing, ignoring a valid subpoena, and several public-interest grounds the statute lists.

The LLC has 60 days to fix the problem before it can be forfeited. The 60 days are counted from the date of the Secretary of State's notice, sent by first-class mail or electronically.

Wyoming allows reinstatement for up to 2 years after the LLC is forfeited.

You file a reinstatement with the Wyoming Secretary of State, Business Division. You can file it online or on paper. Go to Wyoming's filing page.

What It Costs

The fee is $100 to reinstate an LLC forfeited for unpaid annual report license tax, and $350 to reinstate one forfeited for having no registered agent.

The LLC must pay the delinquent annual report license taxes and fees that led to the forfeiture. An LLC forfeited for having no registered agent or office must also file the statement the LLC act requires.

Registered Agent Options

If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether Wyomingwants that updated as part of reinstatement. You do not have to buy a service for it: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. What Reinstatement Does

Reinstatement after a forfeiture for unpaid annual fees relates back to the date the LLC was deemed defunct, and the LLC carries on its business as if it had never been deemed defunct. The statute states this effect only for that route, not for reinstatement after a forfeiture for having no registered agent.

An LLC forfeited for having no registered agent keeps its registered name during the two-year reinstatement period. For a forfeiture over unpaid annual fees the statute does not say, so confirm the name with the Secretary of State.

Worth Knowing in Wyoming

Wyoming treats a forfeited LLC as transacting business without authority. The Secretary of State may list an LLC as delinquent awaiting forfeiture from the day it sends the notice.
