Why Colorado Would Declare an LLC Delinquent

The Secretary of State may declare an LLC delinquent if it does not pay a fee or penalty when due, file its periodic report, or keep a registered agent, or if an administrative law judge finds it was created without authorization or for fraudulent purposes.

The LLC becomes delinquent 60 days after the Secretary of State determines that a ground exists, unless it corrects each ground first; for the fraud ground it becomes delinquent immediately. The Secretary of State says an LLC whose periodic report is still unfiled at the end of the late-filing period becomes delinquent.

What Reinstatement Does

Filing the statement returns the LLC to good standing. The LLC kept existing while it was delinquent, and a court case it is part of cannot later be dismissed because of that delinquency.

The Secretary of State saves the name for 400 days from the date of delinquency. On day 401 the name is changed to add "delinquent" and the date, and the original name becomes available to others.

Worth Knowing in Colorado

An LLC delinquent for five years or longer must also file an affidavit of the signer's authority and a copy of the signer's government photo ID. A Colorado LLC that has actually been dissolved uses articles of reinstatement instead, which need the members' vote or consent.
