How to Reinstate an Idaho LLC

The short answer. If your Idaho LLC has been administratively dissolved, you restore it by filing an application for reinstatement following administrative dissolution with the Idaho Secretary of State. Idaho allows reinstatement for up to 10 years after the LLC is administratively dissolved.

Why Idaho Would Dissolve an LLC

Idaho's Secretary of State may dissolve an LLC that does not file its annual report by the due date or goes 60 consecutive days without a registered agent in Idaho. It may also act on credible information that the LLC did not report a change or resignation of its registered agent within 60 days.

The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the Secretary of State serves notice of its determination.

How to File

You file an application for reinstatement following administrative dissolution with the Idaho Secretary of State. You can file it online or on paper. Go to Idaho's filing page.

What It Costs

The reinstatement fee is $30. Idaho law adds a $20 manual data entry surcharge for a form not generated by the online filing system, unless the form cannot be filed online.

To be reinstated, the LLC must pay all fees, taxes, interest and penalties owed to the Secretary of State when it was dissolved, and those that would have come due while it was dissolved.

Registered Agent Options

If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether Idahowants that updated as part of reinstatement. You do not have to buy a service for it: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. What Reinstatement Does

Under Idaho's law, a reinstated LLC continues as if it had never been administratively dissolved. Rights a person gained by acting in reliance on the dissolution, before knowing of the reinstatement, are not affected.

If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.
