How to Reinstate a West Virginia LLC

Why West Virginia Would Dissolve an LLC
The Secretary of State may dissolve an LLC that does not pay fees, taxes or penalties, or does not deliver its annual or biennial report, within 60 days after they are due. Other grounds are the revocation of a professional license the LLC needs to operate, a default with the Bureau of Employment Programs, and a material misrepresentation in a record the LLC filed.
The LLC act gives the LLC 60 days after service of the Secretary of State's certified-mail notice is perfected to correct each ground. For unpaid annual report fees, a separate statute requires that notice to be postmarked at least 30 days before the dissolution date it names, so act on the date printed in the notice.

The application must include the LLC's signed annual report and payment of every delinquent annual report fee, including the current year, and the late fee for each missing year.
West Virginia requires a tax clearance from the West Virginia State Tax Division (Tax Commissioner) to reinstate. The certificate, which the State Tax Division calls a Letter of Good Standing, must recite that all taxes owed by the LLC have been paid, and it is requested online through MyTaxes.
Registered Agent Options
If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether West Virginiawants that updated as part of reinstatement. You do not have to buy a service for it: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. What Reinstatement Does
Under West Virginia's law, a reinstated LLC continues as if it had never been administratively dissolved.
If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.
Worth Knowing in West Virginia
While dissolved, the LLC continues to exist but may carry on only the business needed to wind up its affairs and notify claimants. Dissolution does not end its agent's authority to accept service of process.
