How to Reinstate a Michigan LLC
The short answer. Michigan does not dissolve an LLC for missed annual statements: an LLC that is not in good standing remains in existence and may continue to transact business. If your Michigan LLC has been marked not in good standing, you restore it by filing a certificate of restoration of good standing with the Michigan Department of Licensing and Regulatory Affairs, Corporations Division.

Why Michigan Would Mark an LLC Not in Good Standing
Michigan places an LLC out of good standing when it has failed to file its annual statement for two consecutive years and then does not file the missing statements and fees within 60 days after the state's notice.
The LLC has 60 days to fix the problem before it can be marked not in good standing. The 60 days are counted after the state sends its notice, which it sends once the LLC has missed two consecutive annual statements.
How Long You Have to Reinstate
We have not confirmed whether Michigan sets a deadline for reinstatement, so do not assume there is time to wait; check with the Michigan Department of Licensing and Regulatory Affairs, Corporations Division as soon as you can.

What It Costs
The reinstatement fee is $50.
Every missed annual statement must be filed with the certificate, with its fee, and the LARA page says the current year's statement is also required when the restoration is received on or after February 15.

What Reinstatement Does
We have not confirmed whether reinstatement in Michigan reaches back to the date the LLC was marked not in good standing. Ask the Michigan Department of Licensing and Regulatory Affairs, Corporations Division or a lawyer before relying on it for anything done in the meantime.
If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.
