How to Reinstate an Arkansas LLC

Why Arkansas Would Dissolve an LLC

The Secretary of State may dissolve an LLC that does not pay a fee, tax, interest or penalty owed to the Secretary of State, or deliver its annual report, within six months after it is due, or that goes 60 consecutive days without a registered agent in Arkansas.

The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the Secretary of State serves notice of its determination.

How Long You Have to Reinstate

Arkansas allows reinstatement for up to 2 years after the LLC is administratively dissolved. If the Secretary of State revoked your LLC's charter by proclamation for unpaid franchise tax, the Arkansas Corporate Franchise Tax Act does not allow reinstatement of that revocation after five years.

What Reinstatement Does

Under Arkansas's law, a reinstated LLC continues as if it had never been administratively dissolved. The rights of anyone who acted in reliance on the dissolution before knowing or having notice of the reinstatement are not affected.

If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate. Once the LLC is dissolved, its name is open to other LLCs, and if it has been taken the LLC must reinstate under a new name.

Worth Knowing in Arkansas

Arkansas also revokes the charter of an LLC that is behind on its annual franchise tax, by a Secretary of State proclamation under the Arkansas Corporate Franchise Tax Act. An LLC revoked that way is reinstated under that Act after it files all delinquent franchise tax reports and pays all taxes and penalties due for each year of delinquency, and the reinstatement is retroactive to the date of revocation.
