How to Reinstate a Pennsylvania LLC

The short answer. Pennsylvania's administrative dissolution applies only to annual reports due on or after January 4, 2027, so a missed 2025 or 2026 annual report cannot lead to it. If your Pennsylvania LLC has been administratively dissolved, you restore it by filing an application for reinstatement with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations.

Why Pennsylvania Would Dissolve an LLC

Beginning with annual reports due in 2027, the Department of State may administratively dissolve an LLC that has not delivered its annual report within six months after the report was due. The statute names no other ground.

The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the Department of State delivers notice of its determination to the LLC's registered office and the principal office shown in its most recent annual report. The LLC avoids dissolution by filing the missing annual report, or showing that it was delivered, within the 60 days, and the dissolution cannot take effect less than 60 days after the notice.

How Long You Have to Reinstate

Pennsylvania sets no deadline: an LLC that has been administratively dissolved can apply for reinstatement at any time.

How to File

You file an application for reinstatement with the Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations. You can file it online or on paper. Go to Pennsylvania's filing page.

What It Costs

The fee is $35 for an application filed online and $40 for one filed on paper.

Unless it shows the ground never existed, the LLC attaches its most recent unfiled annual report to the application. It also pays an additional $15 for each annual report that was not previously paid.

What Reinstatement Does

Under Pennsylvania's law, a reinstated LLC continues as if it had never been administratively dissolved. Reinstatement does not affect the rights of a person arising from an act taken in reliance on the administrative dissolution before the reinstatement took effect.

If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.

Worth Knowing in Pennsylvania

An LLC's report is due by September 30, so the 2027 report is the first one whose absence can lead to dissolution, six months after it is due and after a further 60-day notice.
