Why Tennessee Would Dissolve an LLC

The Secretary of State may dissolve an LLC that is two months late with its annual report, has been without a registered agent or registered office for two months, fails within two months to report a change of agent or office, has a name that does not comply with the LLC act, pays a fee with a dishonored check or other instrument, or files a document its representative knew was materially false.

The LLC has two months after the Secretary of State serves written notice of the grounds, which may be sent by first class mail, to correct each ground or show it does not exist.

How Long You Have to Reinstate

The reinstatement fee is $70.

The application must state that each ground for dissolution did not exist or has been eliminated, so an overdue annual report or a missing registered agent must be put right before the LLC applies.

Tennessee requires a tax clearance from the Tennessee Department of Revenue to reinstate.

If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether Tennesseewants that updated as part of reinstatement. What Reinstatement Does

Under Tennessee's law, a reinstated LLC continues as if it had never been administratively dissolved.

If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.

Worth Knowing in Tennessee

While administratively dissolved, the LLC continues to exist but may not carry on any business except what is needed to wind up and liquidate its affairs. An administratively dissolved LLC that wants to close for good can file articles of termination following administrative dissolution without first being reinstated.
