How to Reinstate an Iowa LLC
The short answer. If your Iowa LLC has been administratively dissolved, you restore it by filing an application for reinstatement with the Iowa Secretary of State, Business Services. Iowa sets no deadline: an LLC that has been administratively dissolved can apply for reinstatement at any time. The reinstatement fee is $5.

Why Iowa Would Dissolve an LLC
Iowa's Secretary of State may dissolve an LLC that is more than 60 days late paying fees, taxes, interest or penalties or filing its biennial report, or that is without a registered agent (or an agent with an Iowa place of business) for 60 days. It may also dissolve one that does not report an agent change or resignation within 60 days, or whose stated period of duration expires.
The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the Secretary of State serves written notice of its determination.

The reinstatement fee is $5.
An LLC dissolved for missing biennial reports must file at least the two most recent delinquent biennial reports and pay all delinquent fees with its application.

If your LLC's registered agent has changed, resigned or lapsed, ask the filing office named above whether Iowawants that updated as part of reinstatement. What Reinstatement Does
Under Iowa's law, a reinstated LLC continues as if it had never been administratively dissolved.
The LLC keeps the right to its name if reinstatement is effective within five years of dissolution. An application received more than five years after dissolution must state a name that meets Iowa's naming rules.
