How to Reinstate a Nebraska LLC
The short answer. If your Nebraska LLC has been administratively dissolved, you restore it by filing an application for reinstatement with the Nebraska Secretary of State. The fee is $30 for an application filed within five years after dissolution, and $500 for a late reinstatement application more than five years after dissolution.

Why Nebraska Would Dissolve an LLC
Nebraska can dissolve an LLC that does not deliver its biennial report, or does not pay a fee, tax or penalty due to the Secretary of State, within sixty days after the due date.
The LLC has 60 days to fix the problem before it can be administratively dissolved. The 60 days are counted after the Secretary of State serves the LLC with a copy of its filed determination that a ground for dissolution exists.
How Long You Have to Reinstate
An LLC can apply for reinstatement within five years after the effective date of its dissolution. After five years it can apply only for late reinstatement, which must state a legitimate reason for reinstatement and that reinstatement does not constitute fraud on the public.

The missing biennial report must be filed with its fee, and any late fees, together with the reinstatement application.

What Reinstatement Does
Under Nebraska's law, a reinstated LLC continues as if it had never been administratively dissolved.
If another business has taken the LLC's name in the meantime, the LLC needs a name that is still available to reinstate.
