How to Reinstate a New York LLC
The short answer. If your New York LLC has been suspended, you restore it by filing a certificate of publication with the New York Department of State, Division of Corporations. New York sets no deadline: an LLC that has been suspended can apply for reinstatement at any time. The reinstatement fee is $50.

Why New York Would Suspend an LLC
New York suspends an LLC's authority to do business when proof of its newspaper publication is not filed within 120 days after formation, or when the party at its address for process resigns and the LLC does not designate a new address.
The publication suspension takes effect automatically at the end of the 120 days after formation if proof of publication has not been filed.

What It Costs
The reinstatement fee is $50.
Before filing, the LLC must publish notice in newspapers as New York's LLC law requires and attach the newspapers' affidavits of publication. The $50 is the Department of State's fee only, and the newspapers charge separately.

What Reinstatement Does
A publication suspension ends when proof of publication is filed, and the statute says the suspension never impaired the LLC's contracts or made its members, managers or agents liable for its obligations. A suspension after a process address resignation ends with the new address, and the LLC's authority is restored and continued as if no suspension had occurred.
Worth Knowing in New York
A New York LLC that misses its biennial statement is shown as past due, and a suspended LLC continues to exist. If the suspension came from a resigned address for process, the cure is a certificate of change or amendment designating a new address. New York's LLC Transparency Act also suspends a company that fails to file a required beneficial ownership disclosure or attestation of exemption; whether your LLC must file depends on federal definitions that currently exclude most U.S.-formed companies, so confirm with the Department of State.
