The annual report fee is $25, due by 11:59 PM on June 30 each year under W. Va. Code 59-1-2a(c) and (e), and the first one is not due until the year after the year of registration. Effective July 1, 2026 an entity with five consecutive years of timely annual reports and good standing may elect to file biennially at $50 instead. The fee does not scale with size, but the filing cadence can change: $25 per year on the default annual cycle, or $50 every two years for entities that qualify for and elect biennial reporting under W. Va. Code 59-1-2a(d)(3) (effective July 1, 2026).

W. Va. Code 59-1-2a(h)(1)(A) sets an administrative late fee of $50 for an annual delinquency and $100 for a biennial delinquency, so a late annual report costs $75 in total. The Secretary of State may waive or reduce the late fee where the delinquency was caused by circumstances beyond the filer's control (59-1-2a(h)(3)). There is also a bad-check fee of up to $5 plus bank pass-through costs under 59-1-2a(g)(2).

Cost traps specific to West Virginia

Everyone shares the same June 30 deadline

W. Va. Code 59-1-2a(e) sets one statewide deadline - 11:59 PM on June 30 - rather than a formation anniversary. Missing it triggers a $50 administrative late fee, taking the report to $75, and once you are more than 30 days delinquent the Tax Commissioner may suspend or cancel your business registration certificate under 59-1-2a(i)(2).

Biennial filing is not available to new LLCs

The $50 biennial option added effective July 1, 2026 requires five consecutive years of timely annual reports plus good standing (W. Va. Code 59-1-2a(d)(3)). New LLCs pay $25 a year, and an entity that later misses a biennial report can have the option revoked and must file annually for another five years before electing again.

The $100 filing is not the only mandatory cost

The Tax Division requires a $30 Business Registration Certificate before any business activity, and a separate $30 certificate for each fixed location in the state. Operating without one carries fines of $1,000 to $10,000 under W. Va. Code 11-9-12 plus $100 per day after 30 days.
