What you actually pay in Utah
Utah is the cheapest state in this batch: $59 to file a certificate of organization and $18 a year to renew, per the Division of Corporations and Commercial Code's FY2026 fee schedule effective July 1, 2025. The $18 renewal figure already includes a $5 surcharge for the state's single sign-on portal, and a late renewal adds $10. Expedited processing costs $75 per filing, more than the $59 filing fee itself. A 120-day name reservation is $22, a short-form certificate of existence is $12 (long form $20), certified copies are $12 plus $0.30 per page, and reinstating an expired LLC costs $54.

The FY2026 fee schedule (effective July 1, 2025) lists one $59 fee for a domestic LLC certificate of organization with no online/paper split, and states "ALL PROCESSING FEES ARE NONREFUNDABLE."
Corporate Minimum Tax (only LLCs that elect corporate treatment): Utah Code 59-7-104(3) sets a $100 minimum tax, with the tax itself at 4.45% of Utah taxable income. It reaches an LLC only through the definition of 'corporation' in 59-7-101(11)(b), which covers 'other organizations that are taxed as corporations for federal income tax purposes'. A partnership-classified or disregarded LLC falls outside Chapter 7 entirely, and the TC-65 instructions state plainly that 'a partnership is not subject to Utah income tax'. The TC-20 instructions add that the minimum tax does not apply to S corporations either.
Why the Corporate Minimum Tax (only LLCs that elect corporate treatment) is not in the total: Utah Code 59-7-101(11)(b) brings in only organisations 'taxed as corporations for federal income tax purposes'; the TC-65 instructions state that a partnership — which includes an LLC — is not subject to Utah income tax, so the $100 floor never attaches to a default-classified LLC.
Registered agent is listed separately because it is a commercial service, not a state charge. Commercial registered-agent services, not a state charge. Range and $125 midpoint match the assumption used by /tools/llc-true-cost. Most states let you serve as your own registered agent at no cost if you have a physical in-state address. Run your own numbers in the true-cost calculator.
Utah LLC cost over five years
State charges only in the first column; the second adds a registered-agent service at the $125/yr market midpoint.
| Period | State cost only | With registered agent |
|---|---|---|
| Year 1 (formation + first filing) | $77 | $202 |
| Each year after | $18 | $143 |
| Five-year total | $149 | $774 |
First filing timing: Utah Code § 48-3a-212(3) requires a report "for each year following the calendar year in which the limited liability company's certificate of organization became effective," delivered during the anniversary month.
Is Utah expensive compared with other states?
Utah ranks 10th cheapest of 50 states on first-year cost — $157.53 below the $234.53 national average. On ongoing annual cost it ranks 17th.
A cheaper filing fee elsewhere rarely saves money if you live and operate in Utah. Doing business here with an out-of-state LLC generally means registering it as a foreign LLC in Utah anyway — paying both states. See foreign qualification in Utah before forming elsewhere to save on fees.
Utah filing deadline and late penalties
Annual Report/Renewal
| Frequency | every year |
| Due | During the month containing the anniversary date on which the LLC's certificate of organization became effective (Utah Code § 48-3a-212(3)(a)). |
| Fee | $18 |
| Late penalty | $10 |
The FY2026 fee schedule lists a $10 late renewal fee. The $18 renewal fee itself includes a $5 surcharge for the State of Utah's single sign-on portal.
An LLC that stops renewing goes to delinquent/expired status; the fee schedule prices domestic LLC reinstatement at $54 (Statement of Correction to Rescind Dissolution is also $54).
Cost traps specific to Utah
Expedited processing costs more than the filing itself
Utah's expedited processing fee is $75 per filing while the certificate of organization is only $59, and all processing fees are nonrefundable even if the filing is rejected.
Renewal processing is running 7-10 business days
The Division's own renewal page says "Our processing times are currently 7-10 business days," even though the Division home page says most filings are instant. Do not leave an anniversary-month renewal to the last day.
Utah is recodifying its LLC statute
Utah Code § 48-3a-212, the section that sets the anniversary-month annual report deadline, is marked "Repealed by Chapter 93, 2026 General Session," and neighbouring sections are marked renumbered as of 10/1/2026. Recheck the section citation after the recodification takes effect.

Where these numbers come from
Every fee above was checked against Utah's own published sources on July 29, 2026 — the Utah Division of Corporations and Commercial Code fee schedule, the governing statute, and where a state-level tax applies, the state tax authority. Commercial formation-service pages were not used.
The first-year total is the Certificate of Organization fee plus the first year of any recurring state charge. Where a state's first report is not due until the following year, that is noted above. The five-year total is the filing fee plus five years of recurring charges, which avoids the timing question entirely. Registered-agent service is excluded from all state figures.
