What you actually pay in Indiana

An Indiana LLC costs $95 to form online through INBiz or $100 to form on paper with State Form 49459, making Indiana one of the few states where the paper channel is the more expensive one. The recurring cost is a Business Entity Report every second year, $31 online or $50 by mail, which works out to roughly $15.50 per year and is among the cheapest ongoing state maintenance in the country. Optional extras are modest: $10 to reserve a name, $26 for a Certificate of Existence ordered from INBiz, and $0 for certified copies, which the Secretary of State provides free through the INBiz Certified Copies Request. Indiana levies no franchise tax or minimum entity tax on a default-classified LLC, so for most single-member Indiana LLCs the true state cost is the $95 formation fee plus about $15.50 a year.

Indiana genuinely charges two different prices depending on channel. Paper: State Form 49459 (R12 / 01-26), page 2, prints "FILING FEE: $100.00" directly under its statutory cites (IC 23-18-2-4 and IC 23-0.5-9-19); checks are payable to the Secretary of State and mailed to 302 W. Washington St., Room E-018, Indianapolis. Online: the official INBiz Fee Calculator (inbiz.in.gov/Inbiz/FeeCalculator/Index) returns a $95.00 transaction fee for Secretary of State > Filings > Domestic Limited Liability Company > Formation, so filing through INBiz saves $5. INBiz then adds a separate payment-processing surcharge at checkout of at least $1 and no more than 2.15% (the calculator quoted $2.04 on a $95 card payment and $1.50 on a $95 e-check), so the real online out-of-pocket is about $96.50 to $97.04.

: Indiana imposes no franchise tax, privilege tax, or minimum entity-level income tax on an LLC with default federal classification. A single-member LLC treated as a disregarded entity reports on the owner's IT-40 or IT-40PNR; a multi-member LLC treated as a partnership files an informational Form IT-65 and the members report their shares on their own returns. First filing timing: The first Business Entity Report is due two years after formation, in the same calendar month the LLC was formed. An Indiana LLC organized on 2026-07-29 owes its first Business Entity Report in July 2028, and then every second July after that (July 2030, July 2032). State Form 48725 (R18 / 01-26) states that "Biennial reports are due every other year in the anniversary month of the business forming" and directs filers to INBIZ.in.gov to see the exact date on the entity's record.

Indiana charges no late fee or penalty for a past-due Business Entity Report; INBiz states plainly that there are "no late fees" on an overdue report. You pay only the normal report fee, but you must pay it for every period you missed, so the cost compounds at $31 (online) or $50 (paper) per missed biennial cycle rather than as a penalty.

Failing to file the Business Entity Report, or failing to maintain a registered agent, puts the LLC into administrative dissolution (domestic) or revocation of registration (foreign). The Secretary of State first mails a notice headed "Pending Administrative Dissolution or Revocation of Registration" that carries the deadline to cure; if the report is not filed by that date the entity is administratively dissolved. Reinstatement then costs a $30.00 reinstatement fee (per the SOS "Reinstatement Directions - All Entities" instructions) plus the filing fee for every Business Entity Report year still owed, and it first requires a Certificate of Clearance from the Indiana Department of Revenue (Form AD-19 plus Form ROC-1), which the SOS says takes at least four weeks. A domestic entity administratively dissolved for more than 5 years can no longer reinstate online and must file on paper.

Cost traps specific to Indiana

The report is biennial, not annual

Indiana's Business Entity Report is due only every other year, in the anniversary month of formation, so an LLC formed in July 2026 owes nothing until July 2028. Filers who assume an annual deadline often stop watching after the second year and get caught by a two-year gap that ends in administrative dissolution.

Filing on paper costs more in both directions

Paper costs $100 to form versus $95 online, and $50 per Business Entity Report versus $31 online, a $19 premium every two years for using the mail. The Secretary of State's own reinstatement page also warns that "most paper reinstatements are rejected."

Reinstatement costs far more than the missed report

Restoring an administratively dissolved Indiana LLC requires a $30 reinstatement fee plus the fee for every Business Entity Report year still owed, and it cannot start until the Department of Revenue issues a Certificate of Clearance, which the Secretary of State says takes at least four weeks. After 5 years of dissolution, online reinstatement is no longer available at all.
