How to File an Assumed Name for an LLC in New York

By Edmond Hui · Last updated October 6, 2026

Short answer

New York requires an LLC that does business under a name other than its own to register an assumed name. An LLC that uses a division or trade name together with its own real name is treated as using its real name and does not need a certificate for that. The filing fee is $25.00.

If you skip it

Knowingly doing business under an unfiled assumed name is a misdemeanor. Until the certificate is filed, the business cannot bring a lawsuit on any contract, account or transaction made under a name other than its real name.

Sole proprietors

New York requires a sole proprietor who does business under a name other than their legal name to register an assumed name. A sole proprietor files when trading under any name other than their real name. Every general partnership must file a certificate, whatever name it trades under, unless it has filed a certificate of continued use of a firm name or is a partnership of lawyers practising law.

A sole proprietor files the Assumed Name Certificate with the county clerk in each county where the business operates.

Filing needs acknowledgment before a clerk or notary.

The filing fee is $25.00. The county clerk collects $25 in each county outside New York City and $100 in each of the five New York City counties (Bronx, Kings, New York, Queens and Richmond). A separate certificate and fee are needed in each county where the business operates.
