Do not assume Form 2553 is enough here. New Yorkis the only state in this 50-state review that publishes a separate S-corporation election of its own. Filing federally without it generally means being taxed as a C corporation at the state level while filing as an S corporation federally — check the form's own instructions for the deadline, which is not the same as the federal one.

What an S corporation still owes New York

New York S corporations still owe the fixed dollar minimum franchise tax based on New York receipts: $25 (≤$100,000), $50 (≤$250,000), $175 (≤$500,000), $300 (≤$1,000,000), $1,000 (≤$5,000,000), $3,000 (≤$25,000,000), $4,500 (over $25,000,000). NY also offers an optional Pass-Through Entity Tax (PTET) election that an electing NY S corporation can make.

Franchise or gross-receipts tax

New York's corporate tax is a franchise tax under Article 9-A. C corporations pay the highest of the business income base tax, the capital base tax, or the fixed dollar minimum tax. The C-corporation fixed dollar minimum tax is based on New York receipts and ranges from $25 (receipts up to $100,000) to $200,000 (receipts over $1 billion). Paid to the Department of Taxation and Finance (not the Department of State).

Worth noticing: a corporation is $75 cheaper to file here than an LLC. That is the exception nationally — corporations are the cheaper filing in only 15 of the 50 states, the two entities cost the same in 25, and the LLC is cheaper in 10.
