What you actually pay in Mississippi
Mississippi is close to the cheapest state to run a domestic LLC in: $50 once for the F0100 Certificate of Formation, then a $0 annual report every year by April 15. The catch is entirely on the foreign side — an out-of-state LLC pays $250 to register (F0200) and $250 again every year for its annual report (F0208), where the domestic version is free. Annual reports must be filed online; there is no paper option. Other fees are small: $25 to reserve a name (F0110), $10 to change a registered agent or office, $50 to reinstate a dissolved domestic LLC (F0109) versus $100 for a foreign one (F0209). Online filings are processed the same day, sometimes within minutes; the SOS warns paper registrations take significantly longer.

$50 either channel — the fee schedule lists a single figure for "F0100 MS LLC Certificate of Formation $50" with no paper/online split, though the SOS warns that "paper registrations will take significantly longer to process than online filings."
No newspaper publication requirement for LLC formation in the Revised Mississippi LLC Act (Miss. Code Title 79, ch. 29).
Registered agent is listed separately because it is a commercial service, not a state charge. Commercial registered-agent services, not a state charge. Range and $125 midpoint match the assumption used by /tools/llc-true-cost. Most states let you serve as your own registered agent at no cost if you have a physical in-state address. Run your own numbers in the true-cost calculator.
Mississippi LLC cost over five years
State charges only in the first column; the second adds a registered-agent service at the $125/yr market midpoint.
| Period | State cost only | With registered agent |
|---|---|---|
| Year 1 (formation + first filing) | $50 | $175 |
| Each year after | $0 | $125 |
| Five-year total | $50 | $675 |
Is Mississippi expensive compared with other states?
Mississippi ranks 4th cheapest of 50 states on first-year cost — $184.53 below the $234.53 national average. On ongoing annual cost it ranks 6th.
| Cheaper state | First-year cost | You would save |
|---|---|---|
| Montana | $35 | $15 |
A cheaper filing fee elsewhere rarely saves money if you live and operate in Mississippi. Doing business here with an out-of-state LLC generally means registering it as a foreign LLC in Mississippi anyway — paying both states. See foreign qualification in Mississippi before forming elsewhere to save on fees.
Mississippi filing deadline and late penalties
Annual Report
| Frequency | every year |
| Due | can be filed any time on or after January 1st of each year and are due by April 15th of that year |
| Fee | $0 |
There is no late fee — the fee schedule prices the domestic LLC annual report (form F0108) at $0. The consequence of missing it is dissolution, not a penalty.
The Secretary of State states "Failure to file the Annual Report may result in the administrative dissolution of the organization," without publishing a fixed timeline. Reinstatement costs $50 for a domestic LLC (form F0109) and $100 for a foreign LLC (form F0209).

Cost traps specific to Mississippi
Foreign LLCs pay $250 a year, domestic LLCs pay $0
Mississippi's domestic LLC annual report (form F0108) is free, but the foreign LLC annual report (form F0208) is $250 every year, on top of the $250 registration fee (F0200). Any "Mississippi LLC costs nothing to maintain" claim applies only to domestic LLCs — registering an out-of-state LLC here is one of the more expensive foreign-qualification arrangements in the country.
Free annual report, online only, and dissolution if skipped
All annual reports must be filed online — there is no paper route — and because the domestic fee is $0 there is no invoice to prompt you. The Secretary of State states that failure to file "may result in the administrative dissolution of the organization," and reinstating a domestic LLC then costs $50.
Annual report mailer scams
The Mississippi Secretary of State publishes standing warnings about misleading annual report mailers and certificate-of-existence solicitations sent to new businesses. Because the domestic annual report is genuinely free and filed on the SOS website, any letter asking for a payment to file it is worth verifying before paying.
Frequently Asked Questions
Where these numbers come from
Every fee above was checked against Mississippi's own published sources on July 29, 2026 — the Mississippi Secretary of State fee schedule, the governing statute, and where a state-level tax applies, the state tax authority. Commercial formation-service pages were not used.
The first-year total is the Certificate of Formation fee plus the first year of any recurring state charge. Where a state's first report is not due until the following year, that is noted above. The five-year total is the filing fee plus five years of recurring charges, which avoids the timing question entirely. Registered-agent service is excluded from all state figures. Confidence on this state is medium: The $50 formation fee, the $0 domestic annual report, the $250 foreign registration and $250 foreign annual report, and the April 15 due date are all confirmed from the official SOS fee schedule PDF and the SOS annual reports page. Three gaps left null rather than filled: (1) first_due_note — neither the SOS annual reports page nor the FAQ states when a newly formed LLC's first report falls due, and Miss. Code §79-29-215 could not be read from a primary source because Mississippi's official code is hosted on a LexisNexis site that blocks fetching and Justia returned 403 (a commercial mirror would not be citable anyway); (2) certificate_of_good_standing — the SOS Order Documents page confirms certificates are available immediately upon payment but publishes no price, and the fee schedule PDF has no certificate or copy fees at all; (3) certified_copy, for the same reason. Confidence is medium only because of those unpriced items and the unverified first-year timing; every figure actually reported is primary-sourced.
