Tennessee charges veterans the full $300 minimum to form an LLC, and the state's business certification is limited to service-disabled veterans.
The Secretary of State's fee schedule has no veteran exemption on formation or on the annual report, and the franchise and excise tax carries none either. What Tennessee does run is an SDVBE certification through GO-BID, which requires a service-connected disability rating, not just service. There is a genuine business licence and business tax exemption for certain disabled veterans in state law, but its qualifying tests are strict enough that a normal operating LLC will usually fail at least one of them.

Why Tennessee Has No Veteran LLC Fee Waiver
Tennessee prices LLC filings by the number of members rather than as a flat charge, with a floor and a ceiling. That means a solo founder and a two-person LLC pay the same floor amount, while a larger membership pushes the bill up until it hits the cap. Neither the floor nor the cap moves for veterans. The annual report uses the identical formula, so the per-member design follows you every year, which is worth thinking about before you add members who are really just investors. The recurring state cost is not only the report. Tennessee's franchise and excise tax applies to LLCs and has no veteran-owned exemption. Where Tennessee is unusual is at the local level: the county and municipal business licence, and the state business tax that rides along with it, can be waived under Tenn. Code Ann. § 67-4-712(a)(2) for a narrow class of disabled veterans. That relief is real and it is claimed on a real form, Department of Revenue form RV-F1321401. It is not a general veteran waiver, and describing it as one is how a lot of articles get Tennessee wrong.

Other Tennessee Fees Veterans Do Not Pay
- County/municipal business licence fee and liability for the state business tax, for a disabled veteran who meets a strict means test. Per the Department of Revenue's affidavit form, the applicant must be a former servicemember who became disabled in an armed conflict involving the United States, own less than $5,000 of unencumbered property anywhere, own less than $5,000 of business capital, reside in the county where the business is located, be the sole beneficiary of the business, claim the exemption at only one place of business, and employ no more than one person who is not an immediate family member.: waived. Check the disability rating first
Tennessee has no certification category for a veteran without a service-connected disability, so this is the step that decides whether the rest is worth reading. GO-BID requires honorable active duty service with a rating of at least 20%, and 50% where the business is owned solely by the veteran and their spouse. Pull your DD Form 214 and your VA rating decision before you start the application.

Confirm the ownership, control and history tests
The veteran must own at least a majority stake and run the business day to day, which means the paperwork trail matters: operating agreement, member list, signature authority. Tennessee also wants at least two years of operating history, so a brand new LLC has to wait. If your business sits outside Tennessee, a reciprocal home-state certification or a nationally recognised one can substitute for the in-state location.

Apply through GO-BID, not Go-DBE
The certifying body is the Governor's Office of Business Initiatives and Development inside the Central Procurement Office at the Department of General Services. It was renamed in 2025 from the Governor's Office of Diversity Business Enterprise, and the old Go-DBE links now return 404s, which is why so many guides send you to a dead page. GO-BID describes the full application without listing an application fee.

Pick one status and diary the renewal
You may apply for only one business status per certification period, so decide which category actually helps you win work before you file. Certification runs three years. Put the expiry in your calendar the day it is approved, because letting it lapse means going back through the process rather than renewing.

Most of what gets published as “veteran LLC benefits in Tennessee” is actually federal, and identical in all 50 states. Three separate things get run together:

Certification is worth doing on its own merits, but it is not a discount on formation. If a page tells you Tennesseegives veterans a “free LLC” and then links you to a certification portal, it has conflated the first row with the second.

GO-BID at the Department of General Services (615-741-2562) is the office that both certifies businesses and knows how state buyers actually use those certifications, which makes it the right first call rather than a general information line. Ask them directly whether the agencies you want to sell to use SDVBE status in their sourcing, since Tennessee publishes no fixed statewide percentage goal we could verify. For the § 67-4-712 exemption, the county clerk who issues your business licence and the Department of Revenue handle the affidavit, not GO-BID.
