What you actually pay in Oklahoma
Oklahoma charges $100 to file Articles of Organization (18 O.S. § 2055) and $25 for the Annual Certificate every year on the LLC's anniversary date (18 O.S. § 2055.2), which is among the cheapest recurring Secretary of State fees in the country. Name reservation is $10, certification of a copy is $10, and a Certificate of Good Standing is $20. A foreign LLC registering in Oklahoma pays $300, three times the domestic fee. Card payments carry a 4% credit card fee under the published fee schedule, and a separate $40 annual agent fee due each July 1 applies only to an LLC for which the Secretary of State itself acts as registered agent.
Oklahoma LLC fee breakdown
| Cost | Amount | How often | Charged by |
|---|---|---|---|
| Articles of Organization (SOS Form 0073 (instructions: SOS Form 0074)) | $100 | One time | Oklahoma Secretary of State |
| Annual Certificate | $25 | Every year | Oklahoma Secretary of State |
| Required state cost, first year | $125 | — | — |
| Registered agent service (optional) | $50–$300 | Every year | Commercial provider |
| Name reservation (optional) | $10 | One time | Oklahoma Secretary of State |
| Certificate of good standing (optional) | $20 | Per copy | Oklahoma Secretary of State |
The statutory fee is $100 either way, but the Secretary of State's fee schedule adds a credit card fee of 4% (listed as "Credit Card Fees @0.04"), so card-paid online filings cost more than a $100 check.
Registered agent is listed separately because it is a commercial service, not a state charge. Commercial registered-agent services, not a state charge. Range and $125 midpoint match the assumption used by /tools/llc-true-cost. Most states let you serve as your own registered agent at no cost if you have a physical in-state address. Run your own numbers in the true-cost calculator.
Oklahoma LLC cost over five years
State charges only in the first column; the second adds a registered-agent service at the $125/yr market midpoint.
| Period | State cost only | With registered agent |
|---|---|---|
| Year 1 (formation + first filing) | $125 | $250 |
| Each year after | $25 | $150 |
| Five-year total | $225 | $850 |
First filing timing: The first Annual Certificate is due on the first anniversary of the date the Articles of Organization were filed; the deadline is the LLC's own anniversary date, not a fixed calendar date.
Is Oklahoma expensive compared with other states?
Oklahoma ranks 16th cheapest of 50 states on first-year cost — $109.53 below the $234.53 national average. On ongoing annual cost it ranks 20th.
A cheaper filing fee elsewhere rarely saves money if you live and operate in Oklahoma. Doing business here with an out-of-state LLC generally means registering it as a foreign LLC in Oklahoma anyway — paying both states. See foreign qualification in Oklahoma before forming elsewhere to save on fees.
Oklahoma filing deadline and late penalties
Annual Certificate
| Frequency | every year |
| Due | On the anniversary date of filing the articles of organization, each year (18 O.S. § 2055.2(B)) |
| Fee | $25 |
Oklahoma charges no dollar late penalty, but 18 O.S. § 2055.2(D) gives only a 60-day grace period after the anniversary date before the LLC loses good standing.
Under 18 O.S. § 2055.2(D)-(F), an LLC that has not filed and paid within 60 days after the due date ceases to be in good standing; the Secretary of State will then refuse to accept any further certificate or articles and will not issue a certificate of good standing, and the LLC may not maintain any action, suit or proceeding in any Oklahoma court until it is reinstated.

Cost traps specific to Oklahoma
Good standing lost 60 days after your anniversary
18 O.S. § 2055.2(D)-(F) strips an LLC of good standing 60 days after a missed Annual Certificate, and an out-of-good-standing Oklahoma LLC cannot file documents, cannot get a certificate of good standing, and cannot maintain a lawsuit in any Oklahoma court until reinstated.
The only reminder is an email
The statute and the Annual Certificate form both state that notice is sent solely to the LLC's last known electronic mail address of record, so a stale or bounced email address means no reminder at all — the $25 deadline still runs.
4% card surcharge on every filing
The Oklahoma fee schedule lists a credit card fee of 4%, so paying the $100 formation fee by card adds roughly $4 and the $25 Annual Certificate adds about $1 each year.

Where these numbers come from
Every fee above was checked against Oklahoma's own published sources on July 29, 2026 — the Oklahoma Secretary of State fee schedule, the governing statute, and where a state-level tax applies, the state tax authority. Commercial formation-service pages were not used.
The first-year total is the Articles of Organization fee plus the first year of any recurring state charge. Where a state's first report is not due until the following year, that is noted above. The five-year total is the filing fee plus five years of recurring charges, which avoids the timing question entirely. Registered-agent service is excluded from all state figures.
