What is a registered agent and why does Washington require one?

A registered agent is the person or business that accepts lawsuits and official notices for your LLC. Washington's LLC Act requires every LLC to continuously maintain a registered agent in Washington. The agent can be an individual or business (a noncommercial registered agent) or a commercial registered agent listed with the Secretary of State. A noncommercial agent must give a physical street address in Washington, and the Secretary of State says PO boxes and private mailboxes are not allowed. The agent must consent to the appointment before being named. You name your agent on your Certificate of Formation, and the agent's details are public on the Secretary of State's business search.

What happens if my Washington LLC doesn't have a registered agent?

Washington law treats a missing agent as a ground for dissolution. If your LLC has no registered agent in Washington for 30 consecutive days, the Secretary of State may start an administrative dissolution proceeding. You then get a notice and 60 days after it is served to fix the problem (by appointing an agent) or show it does not exist; if you do not, the Secretary of State dissolves the LLC. A dissolved LLC can apply for reinstatement within five years, paying a $140 reinstatement fee plus any delinquent annual report fees. In the meantime, without an agent you can miss a lawsuit and face a default judgment without knowing you were sued.

How much does a registered agent cost in Washington?

Serving as your own registered agent, or using a friend or employee with a Washington street address, costs nothing beyond the time it takes. The Washington Secretary of State charges no fee to name or change an agent. A professional registered agent service charges its own annual fee, which varies by provider. Yes. If you are your own registered agent, the street address you give is shown with your LLC's record in the Washington Secretary of State's public business search, so anyone can look it up. This keeps your home address out of the registered agent field. Can I change my Washington registered agent later?

Yes. To change your Washington registered agent, file a Statement of Change/Designation of Registered Agent with the Washington Secretary of State. There is no filing fee (expedited service is an extra $100), you can file it online through the Corporations and Charities Filing System (CCFS), and the new agent must sign a consent to serve. You can also update the agent on your annual report if it is due within 180 days, or otherwise on an amended annual report, which costs $10. Once the change is filed, legal papers go to the new agent.
