Regulatory Climate

Washington State LLCs pay a $200 formation fee and an annual report fee of $60, due by the last day of the anniversary month. Washington has no corporate income tax and no personal income tax — a significant advantage for pass-through LLC income. However, Washington imposes a Business and Occupation (B&O) Tax on gross receipts at rates from 0.13% (manufacturing) to 1.75% (service businesses) — this applies to all revenue, not just profit. The B&O Tax is Washington's de facto business income tax and is material for service-intensive LLCs even at low revenue levels. No sales tax on most digital products and delivered SaaS. The Department of Revenue processes standard online filings in 1–3 business days.
