Does Pennsylvania have registered agents?

No. The Department of State says a commercial registered office provider "is not the same as a Registered Agent. Many states require the designation of a Registered Agent in order to register a business. Pennsylvania does not." A Pennsylvania LLC keeps a registered office instead, at a Pennsylvania street address or through a commercial registered office provider (CROP). Changing your registered agent in Pennsylvania therefore means changing that registered office.

What does it cost to change a registered office in Pennsylvania?

$5, on Form DSCB:15-1507/5507/8625/8825 (Statement or Certificate of Change of Registered Office). If your LLC has already filed this year's annual report, the change costs nothing on an annual report update (Form DSCB:15-146(f)), and you can also include it in the annual report itself. Folding it into a certificate of amendment (Form DSCB:15-8622/8822) costs $70. Faster processing is optional and costs extra: $100 for same-day, $300 for three-hour and $1,000 for one-hour service.

My commercial registered office provider moved or stopped serving. What do I file?

If the provider changes its name or moves its office, it files a statement of change for each company it represents (Form DSCB:15-108), and your LLC does not need to act. If it stops providing registered office service, it no longer has any responsibility for anything sent there, and the Department's instructions say your LLC should immediately file a new registered office. Until you do, the old address stays in effect for venue and official publication.

Can I use my home address as my Pennsylvania registered office?

Yes. The law asks only for a registered office in Pennsylvania at an actual street address (a post office box alone is refused), and it can but need not be your place of business. Your home address works. It becomes part of your LLC's public filing. A commercial registered office provider keeps your home off the registered office line, but your annual report still lists the LLC's principal office address wherever it is.

I have a foreign LLC registered in Pennsylvania. Is it the same form?

No. The $5 statement cannot be used by a foreign LLC. A foreign LLC changes its registered office by amending its foreign registration (Form DSCB:15-413, $250). Do it promptly: not amending the registration when required is a ground on which the Department can terminate a foreign LLC's registration, after notice.

Either a Pennsylvania street address (a post office box alone is refused) or a commercial registered office provider and a county of venue. If you choose a provider, sign up with it first: the Department of State warns that listing a provider without a contract could expose the filer to civil and criminal penalties.

Pick the filing route
The dedicated route is Form DSCB:15-1507/5507/8625/8825, Statement or Certificate of Change of Registered Office, with a $5 fee. If your LLC has already filed this year's annual report, you can make the change on an annual report update (Form DSCB:15-146(f)) with no fee, or include it in the annual report itself. A certificate of amendment (Form DSCB:15-8622/8822, $70) also works, but its own instructions point you to the $5 form when the registered office is the only change.

Fill in the form
The statement asks for the LLC's name, its current registered office address or current provider, and the new address or the new provider and county. For the current and the new registered office, complete either the address or the provider, not both.

Sign and file
An authorized representative of the LLC (such as a member or manager) signs. Signing is an affirmation under penalty of law that the facts are true. To file online, find your LLC's record under Search in the Department of State's Business Filing Services portal and request access; the amendment forms then become available. If you file the paper form, make the check payable to the Department of State.

Keep the filed copy
Keep the filed statement with your LLC records, and update the address anywhere you have given it as your registered office.
