The Bureau of Corporations and Charitable Organizations issues it through Business Filing Services, and the request is automated from end to end. The obstacle is never the Bureau. It is finding the right item under a name nobody gave you.

Pennsylvania's naming quirk is a wide one. The word the Commonwealth prints comes from a vocabulary no other filing office uses, and it means continuing to exist rather than being in credit with anybody. The Department's own training material calls the document the equivalent of what other states issue as a certificate of status, and the Bureau's public page for it is filed under both the plain-English phrase and the Commonwealth's own, which is the only reason a searcher finds it at all. Once you know what to click, there is no human on the other side of the request.

What Pennsylvania Actually Calls It

The document is officially the Subsistence Certificate, issued by Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations, though Pennsylvania's own pages also call it a certificate of good standing. The two names mean the same paper. Ask a bank or another state's filing office for a certificate of good standing and this is what you send them.

A certificate of subsistence (good standing) states when the corporation, limited partnership, limited liability company or limited liability partnership is still in existence as a matter of record in the Office of the Secretary of the Commonwealth. The Department's own training manual calls it the equivalent of a Certificate of Status for domestic entities.

Pennsylvania also uses certificate of subsistence (good standing) for documents in this family.

Why You Need One

The request nearly always comes from outside Pennsylvania. Another state's filing office wants it before it will register your LLC to do business there, and that is the highest-volume reason by far. Lenders ask at the credit decision, not at account opening. A buyer's lawyer collects one during diligence, and so does an investor doing a first round of paperwork on a Pennsylvania company. Commercial landlords ask sometimes, usually when the tenant entity is younger than the lease term. What almost never needs it is anything you file inside Pennsylvania: the Bureau already holds the record the certificate would be proving, so asking it to certify its own file to itself serves no purpose.

The certificate is invisible until you have signed in. Business Filing Services lets anybody search the entity index and read the public record, but the request options under certified documents render only for a logged-in account, so the common failure is a reader who searches, sees nothing to buy, and decides the Commonwealth does not sell it. Create the login first, before you need it. The second thing worth knowing is that the expedited tiers on the Bureau's fee page are a general service covering filings across the office, not a fix for this document. The ordinary output for this one is already an immediate download from your own order queue, so paying to jump a queue that does not exist buys nothing. Expedited requests are also not accepted through the mail, which matters if paper was your plan.

   Nothing purchasable appears to a signed-out visitor. If the account was created by whoever formed the company, find out who that was before a deadline is riding on it.

   Search by name and click through to the entity itself. Pennsylvania has a long history of similarly named companies, so check the record you have opened is the one you own.

   The request sits in the certified documents area of the entity's record rather than in a separate ordering menu. If it is not listed, that is information rather than a glitch, and the next step tells you what it means.

   Confirm the record shows the entity as active

   The option is generated only for a listed entity type in active status. A record showing anything else is telling you the Bureau will not certify it, and the fix is the underlying filing, not another attempt at the order.

What Puts You Out of Standing in Pennsylvania

Before Pennsylvania will issue the Subsistence Certificate, your filings with the state's business filing office have to be current. No separate tax clearance from a revenue agency is part of it.

The Department's Copy/Certification Request manual describes the Subsistence Certificate as an automated portal output whose only gate is entity type plus Active status, with no revenue agency step and no back office review. Pennsylvania's tax clearance requirement historically attached to dissolution filings, not to this certificate.

The Subsistence Certificate option appears in Business Filing Services only for a listed entity type in Active status. Domestic Limited Liability Company is on that list. A foreign LLC registered in Pennsylvania gets the Certificate of Registration instead, which the manual calls the equivalent of a Certificate of Status for foreign entities and which the fee schedule also prices at $40.

Pennsylvania's answer here changed recently and a great deal of published advice has not caught up. Until Act 122 of 2022, a Pennsylvania LLC filed a decennial report and very little else, so standing was close to automatic and stayed that way for years at a stretch. Act 122 created a genuine annual report, the first ones came due during 2025, and the Department has said administrative dissolution for a missed report begins with the reports due in 2027, six months after the due date. The enforcement gap most owners have lived inside is therefore closing on a published timetable rather than at the Bureau's discretion. The portal states the consequence bluntly: this option appears only for an entity the record shows as active, and once a statement of administrative dissolution, cancellation or termination of a foreign registration has been filed, the association cannot obtain the certificate and its name goes back into the pool for somebody else to take.

How Long It Stays Good in Pennsylvania

Pennsylvania publishes nothing about how long the Subsistence Certificate stays current. Whoever asked you for it does: banks, lenders and other states' filing offices each set their own recency rule, and that window is theirs, not Pennsylvania's. Ask what it is, and order the certificate once you know.

Pennsylvania prints a verification number on the document and runs a lookup against it, and that changes the conversation with a difficult recipient. Somebody who wants assurance the certificate is genuine and reflects the record can check it against the Department's own system rather than insisting on a newer copy, and it is worth saying so when a certificate a few weeks old gets pushed back. That is not a reason to reuse one indefinitely. The certificate reports the record on the day it was pulled, and since the request is automated there is nothing to gain by economising. If a closing date slips, pull another in the week the deal actually closes.

Using It Outside the United States

For use abroad, Pennsylvania Department of State will authenticate the certificate with an apostille for $15 per document.

Who to Ask in Pennsylvania

The Bureau of Corporations and Charitable Organizations, inside the Pennsylvania Department of State in Harrisburg, issues the document and is the office to call when the request will not appear for your entity. That is almost always a status problem in the record rather than a fault in the portal, and the Bureau can tell you which of the two you have. Documents going abroad go through the Department's document certification unit for an apostille rather than through the business portal, so treat that as a second errand at the same agency. The Pennsylvania Department of Revenue is separate and answers separately. If a request you have been sent mentions a tax clearance, get the requester to name the document they want before you order anything, because it is not this one.
