What you actually pay in Iowa
Iowa is one of the cheapest states to keep an LLC alive: $50 for the certificate of organization (Iowa Code 489.122(1)(c)) and then only a biennial report — $30 filed electronically through Fast Track Filing or $45 on paper (Iowa Admin. Code 721—40.7(2)). LLCs file in odd-numbered years only, between January 1 and April 1, so the recurring cost averages $15/year online. Iowa charges $100 for a foreign LLC's application for certificate of registration, and just $5 for a certificate of existence or for reinstatement after administrative dissolution.
Iowa LLC fee breakdown
| Cost | Amount | How often | Charged by |
|---|---|---|---|
| Certificate of Organization | $50 | One time | Iowa Secretary of State |
| Biennial Report | $30 | Every 2 years | Iowa Secretary of State |
| Required state cost, first year | $65 | — | — |
| Registered agent service (optional) | $50–$300 | Every year | Commercial provider |
| Name reservation (optional) | $10 | One time | Iowa Secretary of State |
| Certificate of good standing (optional) | $5 | Per copy | Iowa Secretary of State |
Iowa Code 489.122(1)(c) sets a flat $50 fee for the certificate of organization; the statute draws no online-vs-paper distinction for formation.
Iowa Code chapter 489 imposes no newspaper publication requirement on LLC formation.
Registered agent is listed separately because it is a commercial service, not a state charge. Commercial registered-agent services, not a state charge. Range and $125 midpoint match the assumption used by /tools/llc-true-cost. Most states let you serve as your own registered agent at no cost if you have a physical in-state address. Run your own numbers in the true-cost calculator.
Iowa LLC cost over five years
State charges only in the first column; the second adds a registered-agent service at the $125/yr market midpoint.
| Period | State cost only | With registered agent |
|---|---|---|
| Year 1 (formation + first filing) | $65 | $190 |
| Each year after | $15 | $140 |
| Five-year total | $125 | $750 |
First filing timing: The first biennial report is due between January 1 and April 1 of the first odd-numbered year following the calendar year in which the LLC was formed (Iowa Code 489.212(3)). An LLC formed in 2026 therefore files its first report in the January 1 – April 1, 2027 window.
Is Iowa expensive compared with other states?
Iowa ranks 7th cheapest of 50 states on first-year cost — $169.53 below the $234.53 national average. On ongoing annual cost it ranks 15th.
A cheaper filing fee elsewhere rarely saves money if you live and operate in Iowa. Doing business here with an out-of-state LLC generally means registering it as a foreign LLC in Iowa anyway — paying both states. See foreign qualification in Iowa before forming elsewhere to save on fees.
Iowa filing deadline and late penalties
Biennial Report
| Frequency | every two years |
| Due | Between January 1 and April 1 of each odd-numbered calendar year |
| Fee | $30 |
Iowa Code 489.122 sets no monetary late penalty for a delinquent LLC biennial report.
Under Iowa Code 489.708(2) the secretary of state may commence a proceeding to administratively dissolve an LLC that does not deliver its biennial report within 60 days after it is due (the same 60-day rule applies to unpaid fees, taxes, interest or penalties, and to a lapsed registered agent). Reinstatement after administrative dissolution costs $5 under Iowa Code 489.122(1)(q).
Cost traps specific to Iowa
Paper filing costs 50% more
Iowa's LLC biennial report is $30 through the Secretary of State's electronic system but $45 on paper (Iowa Admin. Code 721—40.7(2)), and the paper fee is the only one payable by check.
Odd-year-only filing window is easy to miss
The report can only be filed between January 1 and April 1 of an odd-numbered year, and an LLC formed in an even year does not file until the following odd year — a two-year gap that leads owners to forget the deadline entirely.
Dissolution clock starts 60 days after April 1
Iowa Code 489.708(2) lets the secretary of state begin administrative dissolution once the biennial report is 60 days late — roughly the end of May in a filing year — even though there is no dollar penalty for filing late.

Where these numbers come from
Every fee above was checked against Iowa's own published sources on July 29, 2026 — the Iowa Secretary of State fee schedule, the governing statute, and where a state-level tax applies, the state tax authority. Commercial formation-service pages were not used.
The first-year total is the Certificate of Organization fee plus the first year of any recurring state charge. Where a state's first report is not due until the following year, that is noted above. The five-year total is the filing fee plus five years of recurring charges, which avoids the timing question entirely. Registered-agent service is excluded from all state figures.
