What you actually pay in Idaho

Idaho charges $100 for an LLC certificate of organization under Idaho Code 30-21-214(b)(16), but a mailed paper form triggers the $20 manual-data-entry surcharge in subsection (f), making the paper price $120. The annual report is expressly 'No fee' (30-21-214(b)(7)) yet still mandatory — it is due before the end of the LLC's anniversary month each year. Optional speed costs $40 for filing evidence within eight working hours or $100 for same-day service on filings submitted before 1:00 p.m. Mountain time. A certificate of existence is $10 and reinstatement after administrative dissolution is $30.

: Idaho imposes no annual LLC franchise or privilege tax. A partnership-taxed LLC filing Form 65 owes the $10 Permanent Building Fund tax for each nonresident individual partner included in a composite return; a partnership with all resident partners does not pay the PBF tax.

Idaho Code title 30 chapter 21 imposes no newspaper publication requirement for LLC formation.

First filing timing: Idaho Code 30-21-213(c) starts the clock one year out: 'Beginning one (1) year after the public organic record of a domestic filing entity became effective ... and each year thereafter, the annual report must be received in the office of the secretary of state not later than the close of business on the final day of the applicable month.' An LLC organized in August 2026 therefore files its first annual report by August 31, 2027.

A cheaper filing fee elsewhere rarely saves money if you live and operate in Idaho. Doing business here with an out-of-state LLC generally means registering it as a foreign LLC in Idaho anyway — paying both states. See foreign qualification in Idaho before forming elsewhere to save on fees.

Idaho filing deadline and late penalties

Annual Report

Frequencyevery year
DueBefore the end of the month in which the LLC's certificate of organization became effective (the anniversary month), each year; the report must be received by the close of business on the final day of that month

Filing is mandatory even though it is free: the secretary of state may commence administrative dissolution of a domestic filing entity that does not deliver its annual report by the due date (Idaho Code 30-21-601). Reinstatement after administrative dissolution costs $30 (Idaho Code 30-21-214(b)(27)).

Cost traps specific to Idaho

A free annual report can still cost you the LLC

Idaho charges $0 for the annual report, so there is no invoice to prompt you — but the secretary of state can begin administrative dissolution once the anniversary-month deadline passes, and getting the LLC back costs $30 plus a new filing.

$20 paper surcharge on top of the $100 fee

Idaho Code 30-21-214(f) adds a $20 manual-data-entry surcharge to any form not produced by the state's e-filing system, so mailing the certificate of organization costs $120 instead of $100.

Where these numbers come from

Every fee above was checked against Idaho's own published sources on July 29, 2026 — the Idaho Secretary of State fee schedule, the governing statute, and where a state-level tax applies, the state tax authority. Commercial formation-service pages were not used.

The first-year total is the Certificate of Organization fee plus the first year of any recurring state charge. Where a state's first report is not due until the following year, that is noted above. The five-year total is the filing fee plus five years of recurring charges, which avoids the timing question entirely. Registered-agent service is excluded from all state figures.
