No veteran fee break in Massachusetts, but certification is real

Veterans pay the Commonwealth's full Certificate of Organization fee and the full annual report fee, same as everyone. The benefit here is on the contracting side, through the Supplier Diversity Office.

Massachusetts does not waive any LLC filing fee for veterans — you pay the standard $500 Certificate of Organization fee and the standard $500 annual report fee.

The Corporations Division fee schedule published by the Secretary of the Commonwealth is a single list with no veteran line on it, and nothing in M.G.L. c. 156C or c. 7 gives the Division authority to add one. Massachusetts is also among the most expensive states in the country to keep an LLC alive, because that annual report fee comes around every year on your anniversary date. The state's actual veteran business program lives at the Supplier Diversity Office, and it affects who can bid on public work — not what you pay to exist.

Why Massachusetts Has No Veteran LLC Fee Waiver

Two fees, both large, both unavoidable. Filing your Certificate of Organization costs the full amount whether you mail it, hand it in, fax it, or file online, and the electronic and fax routes add an expedite charge on top. Then the annual report lands every year on the anniversary of organization, at the same price as formation. Nothing about your service record changes either number. It's worth being blunt about what that means for planning. In most states the annual maintenance cost of an LLC is a rounding error and the formation fee is the only real decision point. In Massachusetts the recurring cost is the decision point, and a veteran running a small consulting practice pays exactly what a funded startup pays. If you are choosing between forming here and forming where you actually live, that recurring number — not the veteran question — is the thing to run the math on.

    Work out which category you're applying for

    Veteran Business Enterprise (VBE) and Service-Disabled Veteran-Owned Business Enterprise (SDVOBE) are separate designations with separate routes. If you have no service-connected disability, VBE is your category and the Supplier Diversity Office handles it directly.

    If you're service-disabled, get third-party certified first

    The SDO does not issue SDVOBE certification itself. You obtain it through SBA VetCert, NaVOBA, or Disability:IN, and the SDO recognises the result. Budget for that outside process before you start anything with the Commonwealth.

    Assemble ownership and control evidence

    425 CMR 2.00 asks for at least 51% ownership and dominant control by eligible principals. In practice that means your operating agreement, membership ledger, and anything showing who signs contracts and makes day-to-day calls need to tell the same story. Discharge documentation establishes veteran status.

    Apply to the Supplier Diversity Office

    The SDO administers the diversity certification programme under M.G.L. c. 7, § 61. We have not confirmed an application fee from a primary source, so ask the office directly what it costs and how long review takes before you plan around a certification date.

Other Massachusetts Programs for Veteran Business Owners

Certification matters because of what it attaches to on the procurement side — and because of what it doesn't.

  • 3% veteran participation goal on state-funded municipal construction: The Supplier Diversity Office's Municipal Construction Affirmative Marketing Program (MCAMP) guidelines issued in November 2023 mandate a 3% veteran participation goal on state-funded municipal construction projects. The Division of Capital Asset Management and Maintenance also applies a 3% VBE/SDVOBE benchmark on its design and construction projects. malegislature.gov

Most of what gets published as “veteran LLC benefits in Massachusetts” is actually federal, and identical in all 50 states. Three separate things get run together:

Certification is worth doing on its own merits, but it is not a discount on formation. If a page tells you Massachusettsgives veterans a “free LLC” and then links you to a certification portal, it has conflated the first row with the second.
