Regulatory Climate
Virginia LLCs pay a $100 formation fee and an annual registration fee of $50, due by the end of the month in which the LLC was formed each year. Virginia has no franchise tax on LLCs. The state's graduated income tax (up to 5.75%) applies to pass-through LLC income. The Major Business Facility Job Tax Credit provides $1,000 per qualified job created above a minimum threshold. Virginia's sales tax (5.3% state plus 1% local) applies to tangible goods; most services are exempt. The Virginia Research and Development Tax Credit (up to 15% of qualifying expenditures, or 20% for expenses at Virginia higher education institutions) is valuable for product companies conducting in-state R&D. The Secretary of State processes standard online filings in 1–2 business days.
