Regulatory Climate

Illinois LLCs pay a $150 formation fee and an annual report fee of $75 due before the LLC's anniversary month. Illinois levies a Personal Property Replacement Tax (PPRT) on LLC net income at 1.5% — a unique levy that replaced what was historically a personal property tax. The state's flat individual income tax (4.95%) applies to pass-through LLC income. Chicago additionally imposes a Business License fee and a Personal Property Lease Tax on software subscriptions, which can affect SaaS operating costs.
