Annualising makes the 1, 3 and 5 year rows a cost of ownership rather than a payment schedule: a biennial state charges its whole report fee in the years it falls due and nothing in between. Filing Fees & Formation Costs

Utah charges $59 to form an LLC, while Michigan charges $50. Michigan is $9 cheaper upfront. The cost that usually gets overlooked: if you form in Michigan but operate in Utah, you must also register as a foreign LLC in Utah (a $54 filing) and maintain a registered agent in Michigan (typically around $150 per year). That puts the realistic first-year cost of the Michigan route at roughly $254, versus $59 for simply forming in Utah. Only one side of this comparison is knowable: Utah publishes instant to 4 business days, while Michigan publishes no standard processing time, so the two can't be ranked against each other on speed.

Taxes: Utah vs Michigan

Both Utah and Michigan levy a personal income tax on pass-through business income, and your LLC's profits will be taxed where you live and operate. Forming in Michigan doesn't change what an Utah-based owner pays. Utah levies a flat 4.55% personal income tax. Michigan levies a flat 4.25% individual income tax; Treasury confirmed on April 15, 2026 that the rate remains 4.25% for the 2026 tax year because the statutory rate-reduction trigger wasn't met. Privacy & Asset Protection

Michigan allows anonymous LLC formation. Member and manager names don't appear on routine public filings. Articles of Organization (Form CSCL/CD-700) require only the company name, purpose, duration, resident agent, and registered office, signed by an organizer who may be a third party, and the annual statement under MCL 450.4207(3) requires only the resident agent's name and registered office address. No member or manager is listed on any routine public filing. Utah doesn't offer that same privacy. Utah's annual report lists the LLC's members/managers, searchable on the public Business Search. Both states provide charging-order protection for LLC members, and for most small businesses the practical difference in asset protection between the two is minimal. One important caveat: if you register your Michigan LLC as a foreign LLC in Utah, that Utah registration is itself a public record, which can undercut much of the privacy benefit for a business that operates in Utah.

Annual Maintenance Costs

Utah LLCs file an annual report ($18, due in the anniversary month), and Michigan LLCs file an annual report ($25, due February 15). If you form in Michigan while operating in Utah, you maintain filings in both states (Michigan's report plus Utah's equivalent for your foreign registration) and pay a Michigan registered agent roughly $150 per year.
