Costs include every mandatory state charge: the filing fee, the report fee (annualised where a state files biennially), any state entity-level tax shown in its own row above, a one-time publication cost where a state requires publication, and any one-time registration charge a state requires before the LLC may trade. Filing Fees & Formation Costs

Nebraska charges $100 to form an LLC, while Wyoming charges $100. The upfront filing fees are identical. The cost that usually gets overlooked: if you form in Wyoming but operate in Nebraska, you must also register as a foreign LLC in Nebraska (a $100 filing) and maintain a registered agent in Wyoming (typically around $150 per year). That puts the realistic first-year cost of the Wyoming route at roughly $350, versus $100 for simply forming in Nebraska. Note that Nebraska also requires newly formed LLCs to publish a newspaper notice (Confirmed: Neb. Rev. Stat. § 21-193 requires notice of organization (and of amendment, merger, conversion, or domestication) to be published for three successive weeks in a legal newspaper of general circulation near the LLC's designated office, with proof of publication filed with the Secretary of State), which adds to the true formation cost. Only one side of this comparison is knowable: Wyoming publishes instant online; up to 15 business days paper, while Nebraska publishes no standard processing time, so the two can't be ranked against each other on speed.

Taxes: Nebraska vs Wyoming

Wyoming has no personal income tax while Nebraska does, but forming your LLC in Wyoming won't change that. LLC profits pass through to you and are taxed where you live and operate (in Nebraska), not where the LLC is registered, so a Wyoming LLC offers no income-tax savings for a Nebraska-based business. Nebraska levies individual income tax; under LB 754's phase-down codified at Neb. Rev. Stat. § 77-2715.03, the top rate is 4.55% for tax years beginning in 2026 (falling to 3.99% in 2027). Privacy & Asset Protection

Both Nebraska and Wyoming allow anonymous LLC formation. Neither state requires member or manager names on routine public filings. Forming in Wyoming makes sense in a few specific situations: your business genuinely operates in Wyoming, with a real office, employees, or property there, or you're relocating to Wyoming in the near future, which would also move you out of Nebraska's personal income tax.
