Filing Fees & Formation Costs

Michigan charges $50 to form an LLC, while Nebraska charges $100. Michigan is $50 cheaper upfront. The cost that usually gets overlooked: if you form in Nebraska but operate in Michigan, you must also register as a foreign LLC in Michigan (a $50 filing) and maintain a registered agent in Nebraska (typically around $150 per year). That puts the realistic first-year cost of the Nebraska route at roughly $300, versus $50 for simply forming in Michigan. Note that Nebraska also requires newly formed LLCs to publish a newspaper notice (Confirmed: Neb. Rev. Stat. § 21-193 requires notice of organization (and of amendment, merger, conversion, or domestication) to be published for three successive weeks in a legal newspaper of general circulation near the LLC's designated office, with proof of publication filed with the Secretary of State), which adds to the true formation cost. Speed isn't a basis for choosing between them: neither Michigan nor Nebraska publishes a standard processing time, so any figure comparing the two is guesswork.

Taxes: Michigan vs Nebraska

Both Michigan and Nebraska levy a personal income tax on pass-through business income, and your LLC's profits will be taxed where you live and operate. Forming in Nebraska doesn't change what a Michigan-based owner pays.
