Filing Fees & Formation Costs

Michigan charges $50 to form an LLC, while Indiana charges $95. Michigan is $45 cheaper upfront. The cost that usually gets overlooked: if you form in Indiana but operate in Michigan, you must also register as a foreign LLC in Michigan (a $50 filing) and maintain a registered agent in Indiana (typically around $150 per year). That puts the realistic first-year cost of the Indiana route at roughly $295, versus $50 for simply forming in Michigan. Speed isn't a basis for choosing between them: neither Michigan nor Indiana publishes a standard processing time, so any figure comparing the two is guesswork.

Taxes: Michigan vs Indiana

Both Michigan and Indiana levy a personal income tax on pass-through business income, and your LLC's profits will be taxed where you live and operate. Forming in Indiana doesn't change what a Michigan-based owner pays. Michigan levies a flat 4.25% individual income tax; Treasury confirmed on April 15, 2026 that the rate remains 4.25% for the 2026 tax year because the statutory rate-reduction trigger wasn't met. Indiana levies a flat 3.0% personal income tax. Neither state imposes a separate franchise or privilege tax on LLCs beyond standard filing fees.

Privacy & Asset Protection

Michigan, your home state, actually offers more formation privacy than Indiana: Michigan allows anonymous LLC formation, while Indiana requires owner or manager information on public filings. Indiana's Articles of Organization require no member or manager name (IC 23-18-2-4(b)), but the biennial Business Entity Report does: the Secretary of State's INBiz filing requirements call for at least one officer or governing person, and a governing person expressly includes managers (if manager-managed) and members (if member-managed). Those names are public, the Indiana business search exposes an "Incorporator or Governing Person Name" field. Separately, IC 23-0.5-2-14 (added by P.L.239-2025 s.8, effective 2026-01-01) requires every health care entity, LLCs included, to report on the biennial report the name, address and ownership stake of each holder of 5% or more. Both states provide charging-order protection for LLC members, and for most small businesses the practical difference in asset protection between the two is minimal. From a privacy standpoint there is no reason for a Michigan-based business to form in Indiana.

Annual Maintenance Costs

Michigan LLCs file an annual report ($25, due February 15), and Indiana LLCs file a biennial report ($32, due in the anniversary month, every two years). If you form in Indiana while operating in Michigan, you maintain filings in both states, Indiana's report plus Michigan's equivalent for your foreign registration, and pay an Indiana registered agent roughly $150 per year. That brings ongoing costs of the Indiana route to roughly $207 per year, versus about $25 to keep a domestic Michigan LLC in good standing.

When Indiana Actually Makes Sense

Forming in Indiana makes sense in a few specific situations: your business genuinely operates in Indiana, with a real office, employees, or property there, or you're relocating to Indiana in the near future. For a typical small business based in Michigan, none of these usually apply. Registering an Indiana LLC to do business back home means $50 in Michigan foreign-registration fees, on top of Indiana's $95 formation fee, while Michigan's own annual report runs $25 a year and is due February 15. Michigan already allows anonymous formation, so the privacy argument for Indiana doesn't apply to a Michigan-based owner. When in doubt, form where you actually do business.
