What is a registered agent in Oregon?

A registered agent is the person or business that accepts lawsuits and official notices for your LLC. Oregon law requires every LLC to continuously maintain a registered agent and registered office in Oregon. The registered office must be a physical street address where legal papers can be personally served on the agent, and it cannot be a commercial mail receiving agency, a mail forwarding business or a virtual office. The agent can be an individual who lives in Oregon, a domestic LLC or corporation, or a foreign LLC or corporation authorized to do business in Oregon, and in each case the agent's business office must be the registered office. What happens if my Oregon LLC doesn't have a registered agent?

Oregon may administratively dissolve an LLC that is without a registered agent or registered office, or that does not tell the Secretary of State its agent has changed or resigned. The Secretary of State gives written notice first, and the LLC is dissolved if it does not fix the problem, or show it does not exist, within 45 days after the notice. A dissolved LLC can apply for reinstatement within five years. Without an agent you can also miss a lawsuit and face a default judgment without knowing you were sued.
