Payoneer is a global payment platform used by marketplace sellers, freelancers, and businesses to receive cross-border payments and access multi-currency accounts. For a Massachusetts LLC, Payoneer requires business registration documents (in Massachusetts, your Certificate of Organization), an IRS EIN document, proof of business address, and identity information for beneficial owners. Payoneer is also the default payment processor for Walmart Marketplace seller payouts.
In Massachusetts the entity behind that check is an LLC created by filing a Certificate of Organization, which costs $520. Massachusetts does not publish a processing time for LLC filings, so treat state approval as the open-ended step in your timeline rather than the Payoneer review. Because Massachusetts names a member or manager on a routine public filing, the owner name Payoneer asks you to confirm is already a matter of public record.
What Payoneer requires, and how a Massachusetts LLC meets each
| Requirement | How your Massachusetts LLC satisfies it |
|---|---|
| Business registration certificate | Upload the Certificate of Organization Massachusetts returned to you, stamped and approved. |
| IRS EIN document | Provide your federal EIN (free from the IRS; non-US founders without an SSN must apply via Form SS-4 by fax or phone rather than the online tool) — independent of Massachusetts. |
| Beneficial owner identity (25%+ owners) | Provide a government ID for each beneficial owner named in your Massachusetts filings. Massachusetts names a member or manager on a routine public filing, so at least one name already matches state records. |
| Business address proof | Use a US street address registered to the LLC in Massachusetts (your Massachusetts registered-agent or virtual business address), since a PO box is usually rejected. |
| Consistent business name across all documents | Use the exact LLC name as Massachusetts recorded it on your Certificate of Organization; it must match your bank account holder name. |
Massachusetts-specific things to watch
- Massachusetts names a member or manager on a routine public filing, so Payoneer's beneficial-owner check will line up with public state records — you still upload a government ID for each owner. (The certificate of organization and the annual report must both list the name and business address of each manager, if any, plus any person authorized to execute documents filed with the Corporations Division, so at least one manager or authorized person is always publicly disclosed.)
- Massachusetts issues a Certificate of Organization rather than "Articles of Organization." When Payoneer asks for "formation documents," upload your Certificate of Organization.
- Budget for Massachusetts's ongoing LLC costs before projecting your Payoneer margins: No separate franchise or excise tax on LLCs taxed as partnerships/disregarded entities, but the mandatory $500 annual report fee is among the highest in the nation.
Massachusetts sales tax & nexus rules for Payoneer sellers
Massachusetts charges a 6.25% state sales-tax rate. Payments through Payoneer are not covered by marketplace-facilitator laws — you collect and remit yourself. Registration is required before your first taxable sale if you have physical presence in Massachusetts (an in-state location, inventory, or employees), or once you cross Massachusetts's remote-seller economic-nexus threshold of $100,000 in sales in the previous calendar year.
Massachusetts lowered its nexus threshold from $500,000 to $100,000 in October 2019. There is no transaction count threshold. Massachusetts has no local sales taxes. The state taxes software-as-a-service (SaaS) and digital goods when used in Massachusetts, which is an important consideration for technology companies.

Non-US founders with Massachusetts LLCs
Payoneer is widely used by non-US founders receiving marketplace payments worldwide. Non-US owners of a Massachusetts LLC verify with their own non-US government ID. The entity still needs a US business address and an EIN alongside its Massachusetts registration. Payoneer supports receiving payments in multiple currencies without a US bank account.
