What you actually pay in Georgia
Under the Corporations Division fee schedule effective September 6, 2025, Georgia charges $110.00 to file Articles of Organization ($100.00 base + a $10.00 service charge) and $60.00 for the annual registration ($50.00 + $10.00) — and the schedule shows the same totals in the online and paper columns, so the old $10 online discount is gone. The annual registration is due between January 1 and April 1 each year with a $25.00 late-filing penalty. Georgia lets an LLC prepay one, two or three calendar years at once, but those fees are non-refundable if the company ends early. Expedited service is steep: $120.00 for two business days, $275.00 same day and $1,200.00 for one hour, on top of the filing fee. Online annual registrations and Certificate of Existence requests are processed immediately with no expedite fee.

The Corporations Division fee schedule effective September 6, 2025 lists "Articles of Organization (LLC)" as $100.00 base + $10.00 service charge = $110.00, and shows the identical $110.00 in both the "Online Filing" and "Paper Filing" columns — as of that schedule the $10.00 service charge applies to online filings too, so there is no longer an online discount.
Georgia's newspaper notice-of-intent requirement applies to corporations, not LLCs; nothing in the Corporations Division's fee schedule or in Ga. Comp. R. & Regs. Subject 590-7-22 imposes a publication step or fee on an LLC. Not separately confirmed against O.C.G.A. Title 14, Chapter 11 in this pass.

First filing timing: Ga. Comp. R. & Regs. 590-7-22-.02: "A newly formed domestic limited liability company or a newly qualified foreign limited liability company shall file an annual registration with the Secretary of State... between January 1 and April 1 of the year following the calendar year of the new registration filing." An LLC formed in November 2026 therefore owes its first $60.00 annual registration by April 1, 2027.

The fee schedule lists "Penalty for Late Filing of Annual Registration $25.00" for both online and paper. Georgia's guidance is that "your envelope must be postmarked by April 1 of the current year to avoid a $25 late fee."
"A limited liability company... that fails to file its annual registration with the correct fee may be subjected to administrative dissolution or revocation in accordance with the provisions of Title 14 of the Official Code of Georgia Annotated" (Ga. Comp. R. & Regs. 590-7-22-.08). Reinstatement of a domestic LLC costs $250.00 + $10.00 service charge = $260.00. A dishonored payment also carries a $30.00 charge and can trigger dissolution proceedings if not cured within 60 days.

Cost traps specific to Georgia
Online filing no longer saves the $10 service charge
The fee schedule effective September 6, 2025 shows the $10.00 service charge in both the Online Filing and Paper Filing columns, so Articles of Organization cost $110.00 and annual registration $60.00 either way. Guidance still quoting $100 online / $110 paper — including the georgia.gov "Register an LLC" page — is out of date.
Prepaid multi-year registrations are non-refundable
Georgia lets an LLC pay for up to three calendar years of annual registration at once, but Ga. Comp. R. & Regs. 590-7-22-.10 states the fees "will not be refunded if a limited liability company is terminated, dissolved, merged out of existence, withdrawn, administratively dissolved, or revoked prior to the end of an annual registration period."
First annual registration can land within weeks of forming
Under Ga. Comp. R. & Regs. 590-7-22-.02 the first annual registration is due between January 1 and April 1 of the year after the formation filing, so an LLC created in December 2026 owes its first $60.00 registration by April 1, 2027 or takes the $25.00 late penalty.

Where these numbers come from
Every fee above was checked against Georgia's own published sources on July 29, 2026 — the Georgia Secretary of State fee schedule, the governing statute, and where a state-level tax applies, the state tax authority. Commercial formation-service pages were not used.
The first-year total is the Articles of Organization fee plus the first year of any recurring state charge. Where a state's first report is not due until the following year, that is noted above. The five-year total is the filing fee plus five years of recurring charges, which avoids the timing question entirely. Registered-agent service is excluded from all state figures.
