Missouri LLC Annual Compliance Requirements (2026)

Everything your Missouri LLC must do to stay in good standing, annual report deadlines, registered agent rules, and state-specific obligations.

First-Year Total$50
Annual Ongoing$0/yr
vs National Avg- $182.13

By Edmond Hui · Last updated: September 19, 2026

Missouri offers one of the lightest LLC compliance loads in the country. Articles of Organization cost $50 filed online with the Secretary of State, though the same document costs $105 on paper, and the Secretary of State's own FAQ describes the gap as a $55 saving for filing online. What really sets Missouri apart is that nothing recurs. It is one of only seven states whose LLCs file no annual report at all, and one of eleven where the ongoing state cost is $0, so your $50 online filing fee is both your first-year state cost and your cost every year after that. Against a national average of about $232 in first-year state costs, that is roughly $182 saved, and it makes Missouri the 3rd cheapest state in the country for first-year LLC costs. The state's location at the crossroads of American agriculture, anchored by major business hubs in Kansas City and St. Louis, also gives LLCs in agriculture technology, veterinary and pet technology, and financial technology direct access to farmers, cooperatives, and agricultural distributors.

Stat card for Missouri LLC compliance costs: $50 in unavoidable first-year charges and $0 a year after that, −$182.13 against the $232.13 national first-year average. Missouri requires no periodic report at all.
First-year total bundles the state filing fee with any report or entity tax due in year one; the recurring figure is what Missouri costs every year after that. Registered Agent Requirements

Understand Missouri's registered agent rules, compare your options, and ensure your LLC stays compliant with state requirements.

Before you compare paid services: in most states the LLC's owner, or another individual who qualifies, may serve as its registered agent themselves, generally subject to that state's rules on keeping a street address in the state and being available there during normal business hours. A paid service is one way to meet the requirement and not the only one. The Missouri registered agent requirements set out what Missouri itself asks.

Registered agent services for Missouri LLCs

Affiliate disclosure: Northwest Registered Agent, Bizee, ZenBusiness and LegalZoom pay us a commission if you sign up through our link, at no extra cost to you. We list only the registered agent services we have an affiliate relationship with, so this is not a survey of the whole market.

This list is not scored. The four are listed cheapest annual renewal first, and every claim below is about the services listed here rather than the whole market.

  • Best for: Privacy-focused owners and anyone who just needs an agent, not a formation bundle

  • Bizee$149/yr renewal

Best for: A free first year on every plan, renewing at $149/yr, if you're comfortable with the BBB caveat

  • ZenBusiness$199/yr renewal

Best for: First-time founders forming a new LLC who want phone, email and chat support

  • LegalZoom$249/yr renewal

Best for: Complex structures that want attorney consultations, which come with LegalZoom's Pro and Premium formation plans rather than this renewal price

Note: Bizee holds a C rating from the BBB and is not accredited. BBB's profile carries a live alert describing a pattern of complaints about unexpected charges, difficulty canceling and filing delays, and Bizee has posted a response to it. We flag this so you can make an informed choice.

Missouri-Specific Compliance Considerations

No Annual Report Requirement

Missouri is one of only seven states whose LLCs file no annual report, and the Secretary of State's business FAQ answers "Do limited liability companies have to file an annual report?" with a flat "No." Once you pay the $50 online formation fee (or $105 on paper) there is no recurring state filing and no recurring Secretary of State fee. Missouri's corporation franchise tax was fully phased out as well, with no annual franchise tax imposed for tax years beginning on or after January 1, 2016, and nothing replaced it at the LLC level.

Registered Agent Maintenance

Missouri requires no annual report, but you must continuously maintain a registered agent and a registered office in the state. This is your primary ongoing obligation to the Secretary of State, and a change of agent or office is filed as it happens rather than confirmed each year. Missouri law sets that filing fee at $5, and the Secretary of State's published fee schedule charges $10 once the $5 technology fund charge is added.

Agricultural Business Advantages

Missouri's unique geographic position at the intersection of major agricultural regions provides LLCs with direct access to farming communities, cooperatives, and distribution networks. The state's focus on agriculture technology creates special opportunities for LLCs in this sector.

Dual Metro Advantages

With both Kansas City and St. Louis as major business centers, Missouri LLCs benefit from access to diverse markets, financial institutions, and professional services across two significant metropolitan areas. This geographic spread offers unique networking and customer base opportunities.

This guide is general information, not legal or tax advice, and reading it does not create an attorney-client relationship. It reports what each state publishes about filing deadlines, fees, and the consequences of missing them, with the sources this page cites. It cannot tell you what your own company owes: the date turns on when and where you formed, states change these rules between our reviews, and in several states an entity-level tax falls due in a year when no report does. Confirm your own dates with the filing office named on this page before you rely on one here, because the penalty for missing a deadline can be administrative dissolution of the company.

Some statutory text is read from an accurate mirror rather than from the state's own host, and those say so.
