Regulatory Climate

Missouri LLCs pay a $50 formation fee online ($105 on paper) and file no periodic report at all: Missouri is one of the few states that requires no annual or biennial report from an LLC, so there is no recurring Secretary of State charge. Missouri has no franchise tax on LLCs. The state's individual income tax is graduated, with a top rate of 4.70% for 2025. Missouri has a sales tax of 4.225% at the state level; local taxes bring the combined rate to about 8.7% in Kansas City and 9.7% in St. Louis City, and above 11% inside special taxing districts. Missouri's research and development tax credit (up to 15% of qualifying expenses) benefits product-focused companies. The Missouri Works program provides job creation incentives. The Secretary of State's online system processes standard filings in 3 to 5 business days.
