Filing Fees & Formation Costs

Note that Nebraska also requires newly formed LLCs to publish a newspaper notice (Confirmed: Neb. Rev. No routine public filing names owners: the Certificate of Organization/foreign authority application requires only company name, designated office, and registered agent, and the biennial report under Neb. Rev. Stat. § 21-125 requires company name, designated office, agent, and principal office, no member or manager names anywhere. Tennessee doesn't offer that same privacy. Tennessee's annual report (a per-member filing) discloses the LLC's members/managers. Both states provide charging-order protection for LLC members, and for most small businesses the practical difference in asset protection between the two is minimal. One important caveat: if you register your Nebraska LLC as a foreign LLC in Tennessee, that Tennessee registration is itself a public record, which can undercut much of the privacy benefit for a business that operates in Tennessee.
