Filing Fees & Formation Costs

Michigan charges $50 to form an LLC, while Arkansas charges $45. Arkansas is $5 cheaper upfront. The cost that usually gets overlooked: if you form in Arkansas but operate in Michigan, you must also register as a foreign LLC in Michigan (a $50 filing) and maintain a registered agent in Arkansas (typically around $150 per year). That puts the realistic first-year cost of the Arkansas route at roughly $245, versus $50 for simply forming in Michigan. Speed isn't a basis for choosing between them: neither Michigan nor Arkansas publishes a standard processing time, so any figure comparing the two is guesswork.

Taxes: Michigan vs Arkansas

If you form in Arkansas while operating in Michigan, you maintain filings in both states, Arkansas's report plus Michigan's equivalent for your foreign registration, and pay an Arkansas registered agent roughly $150 per year. That brings ongoing costs of the Arkansas route to roughly $325 per year, versus about $25 to keep a domestic Michigan LLC in good standing. One more recurring cost to budget for: All Arkansas LLCs owe a $150 annual franchise tax, due May 1.

When Arkansas Actually Makes Sense

Forming in Arkansas makes sense in a few specific situations: your business genuinely operates in Arkansas, with a real office, employees, or property there, or you're relocating to Arkansas in the near future. For a typical small business based in Michigan, none of these usually apply.
